Effective Time definition

Effective Time has the meaning set forth in Section 2.2.

Effective Time shall have the meaning set forth in Section 2.3.

Examples of Effective Time in a sentence

• If at the Effective Time a vacancy shall exist in any of the offices of the Surviving Corporation, such vacancy may thereafter be filled in the manner provided by the Surviving Articles or Surviving Bylaws, as applicable.

• All of the representations and warranties set forth in this Section 8 shall be made as of the Signing Date and as of the Effective Time (except in the case of representations and warranties that are made as of a specified date, in which case such representations and warranties will be true and correct as of such specified date).

• In accordance with Section 4 of this Agreement, MMIC will, as soon as practicable following the Effective Time, send all holders of NFMIC policies that are in force on the Effective Time a Certificate of Assumption on a form approved by the Commissioner.

• Assessments, if any are necessary, levied for losses and expenses incurred prior to the Effective Time on policies issued by the Constituent Corporations shall be levied only against the members of the respective Constituent Corporation.

• At the next annual meeting of MMIC following the Effective Time, MMIC will nominate to the board of MMIC a current director of NFMIC selected by NFMIC (the “NFMIC Nominee”).

More Definitions of Effective Time

Effective Time has the meaning set forth in the Merger Agreement.

Effective Time in the case of (i) an Exchange Registration, shall mean the time and date as of which the Commission declares the Exchange Registration Statement effective or as of which the Exchange Registration Statement otherwise becomes effective and (ii) a Shelf Registration, shall mean the time and date as of which the Commission declares the Shelf Registration Statement effective or as of which the Shelf Registration Statement otherwise becomes effective.

Effective Time of the Registration Statement relating to the Offered Securities means the time of the first contract of sale for the Offered Securities.

Effective Time means 12:01 a.m. (Toronto time) on the Effective Date;

Effective Time means 12:01 a.m., New York City time, on the Closing Date.

Effective Time with respect to the Initial Registration Statement or, if filed prior to the execution and delivery of this Agreement, the Additional Registration Statement means the date and time as of which such Registration Statement was declared effective by the Commission or has become effective upon filing pursuant to Rule 462(c). If an Additional Registration Statement has not been filed prior to the execution and delivery of this Agreement but the Company has advised the Representatives that it proposes to file one, “Effective Time” with respect to such Additional Registration Statement means the date and time as of which such Registration Statement is filed and becomes effective pursuant to Rule 462(b).

Effective Time shall have the meaning given to such term in Section 2.2 hereof.
