ECP Investors means ECP, Evercore Capital Partners (NQ) L.P. and EBF Group L.L.C., or any limited or general partner, stockholder, officer or employee of such ECP Investor.

Examples of ECP Investors in a sentence

  • Each of the Company and the other Investors shall direct any Notice to be made to any ECP Investor to the ECP Representative and agree that any Notice delivered under this Agreement by the ECP Representative shall be deemed to be a Notice delivered by the ECP Investors.

  • Any Notice made to the ECP Representative (referencing the ECP Investors) shall be deemed to have been made to the ECP Investors in the form and at the time made to the ECP Representative.

  • If any Management Investor is determined by final judicial determination (or final determination of binding arbitration) to have materially breached any Restrictive Covenant following the exercise by the Company or the ECP Investors of the Call Right or the ECP Call Right, respectively, then such Management Investor shall immediately return any Gain realized with respect to the Sunnova Securities repurchased by the Company or the ECP Investors pursuant to the Call Right or the ECP Call Right.

  • Co-Investors means each of (a) the Fund and the Fund Affiliates (excluding any of their portfolio companies) and (b) the Management Group.

  • CD&R Investors collectively, (i) CD&R Fund VIII, (ii) CD&R Friends & Family Fund VIII, L.P., a Cayman Islands exempted limited partnership, and any successor in interest thereto, and (iii) any Affiliate of any CD&R Investor identified in clauses (i) and (ii) of this definition.

  • Investors means the Initial Investors and any transferee or assignee who agrees to become bound by the provisions of this Agreement in accordance with Section 9 hereof.

  • PIPE Investors means those certain investors participating in the PIPE Investment pursuant to the Subscription Agreements.

  • Equity Investors means the Sponsors and the Management Stockholders.

  • Other Shareholders means persons who, by virtue of agreements with the Company other than this Agreement, are entitled to include their securities in certain registrations hereunder.

  • Minority Shareholders means holders of Shares that were not tendered pursuant to the Offer or in the Subsequent Offering Period (as it may be extended by the Minority Exit Offering Period).

  • Management Shareholders means Xxxxxx X. Xxxx, Xxxx X. Xxxxxxx, and Xxxxxx X. Xxxxxxxxx.

  • Sponsor Group means the Sponsors and the Sponsor Related Parties.

  • Stockholder Group means the Stockholder and each Person (other than any member of the Company Group) that is an Affiliate of the Stockholder.

  • Shareholder Group means (i) Shareholder and (ii) any Affiliate or Shareholder Family Entity (as defined in the Shareholder's Agreement) of Shareholder (other than the Company).
