  • Echo shall at all times cause a number of authorized Echo Shares to be authorized and held in reserve as will be sufficient to comply with any and all requests for Exchange that may be made pursuant to this Agreement.

  • The rights of Echo (or its designated assignee) or the Sponsors to purchase Echo Shares under this Article VI are in addition to, and do not modify, any vesting or exercisability requirements that may be included in the terms of any such Echo Shares.

  • Key staff: The selection and retention of a consultant will be contingent on the availability of the following proposed key staff, unless qualified substitutes are approved during negotiation by NYSDOT.

  • Additionally, accepting this Offer ensures you will not be exposed to ongoing risks that could affect the trading price of Echo Shares.

  • While the Offer is conditional on Northern Star acquiring at least 90% (on a fully diluted basis) of all Echo Shares, Northern Star is entitled to waive this condition.

  • Contaminated Land: Initial site investigation works have identified elevated concentrations of metals, petroleum hydrocarbons and PAHs. Further site investigation work is required to fully characterise the site and to design appropriate remedial measures.

  • In the circumstance that Northern Star exercises any right to proceed with compulsory acquisition of the outstanding Echo Shares in accordance with the provisions of Part 6A.1 of the Corporations Act, the current intentions of Northern Star are as follows.

Related to Echo Shares

  • Buyer Shares means the common stock, with a par value of $0.0001 per share, of Buyer.

  • Amalco Shares means the common shares in the capital of Amalco;

  • Purchaser Shares means the common shares in the capital of the Purchaser.

  • Newco Shares means the common shares in the capital of Newco;

  • Company Shares means the common shares in the capital of the Company;

  • Merger Shares has the meaning set forth in Section 2.2(c).

  • Sold Shares shall have the meaning specified in Section 6.

  • Purchased Shares has the meaning set forth in Section 2.01.

  • Acquired Shares has the meaning set forth in the Recitals.

  • Parent Shares means the shares of common stock, par value $1.00 per share, of Parent.

  • Coop Shares Shares issued by a Cooperative Corporation.

  • ASA Shares has the meaning set forth in 2.4(a).

  • Seller Shares means all shares of Common Stock of the Company owned as of the date hereof or hereafter acquired by a Common Holder, as adjusted for any stock splits, stock dividends, combinations, subdivisions, recapitalizations and the like.

  • Subco Shares means the common shares in the capital of Subco;

  • VMTP Shares means Variable Rate MuniFund Term Preferred Shares, $0.00001 par value per share, liquidation preference $100,000 per share plus an amount equal to accumulated but unpaid dividends thereon (whether or not earned or declared), of the Trust. The preferences, voting powers, restrictions, limitations as to dividends, qualifications, and terms and conditions of redemption of each series of VMTP Shares are set forth in the VMTP Shares Statement.

  • New Shares means ordinary or common shares, whether of the entity or person (other than the Share Issuer) involved in the Merger Event or a third party, that are, or that as of the Merger Date are promptly scheduled to be, (i) publicly quoted, traded or listed on an exchange or quotation system located in the same country as the Exchange (or, where the Exchange is within the European Union, in any member of state of the European Union) or on another exchange acceptable to the Issuer and (ii) not subject to any currency exchange controls, trading restrictions or other trading limitations.

  • Exchange Shares has the meaning set forth in Section 2.01(b).

  • Consideration Shares shall have the meaning set forth in Section 2.7(c).

  • Purchased Stock means a right to purchase Common Stock granted pursuant to Article IV of the Plan.

  • Subscriber Shares means the Shares which the subscribers to the Instrument of the ICAV agree to subscribe for as more particularly hereinafter set forth after their names.

  • Holdco Shares means the ordinary shares of HoldCo with a par value of US$0.0001 per share.

  • Acquisition Shares means the shares of an Acquiring Fund to be issued to the corresponding Target Fund in a reorganization under this Agreement.

  • PIPE Shares shall have the meaning given in the Recitals hereto.

  • Subscription Shares has the meaning ascribed to it in Section 2.1.

  • A Shares means a participating share of no par value in the capital of the Fund, denominated in US Dollars;

  • Transferred Shares means all or any portion of a Member’s Shares that the Member seeks to Transfer.
