If the parties are unable to reach agreement by the end of the Earnout Resolution Period, notwithstanding the provision in Section 10.12 with respect to applicable substantive law, the parties shall refer all unresolved disputed items to the Arbitration Panel for arbitration to be conducted pursuant to the terms of this Section 1.3(c)(iv) and Section 9.6(c).
