Earnout Percentage definition

Earnout Percentage means the result of the following formula expressed as a percentage:
Earnout Percentage means, with respect to any Member, the percentage set forth opposite such Member’s name under the heading “Earnout Percentage” on Annex B.
Earnout Percentage means an amount, expressed as a percentage, equal to (x) the Cumulative Adjusted EBITDA as finally determined, divided by (y) the Earnout Target.

Earnout Percentage means:

Earnout Percentage means, with respect to any Principal, the percentage set forth opposite such Principal’s name under the heading “Earnout Percentage” on the Funds Flow; provided, however, that if any portion of the Earnout Amount is used to fund the Cash Bonus Plan pursuant to Section 1.5(j), a corresponding reduction shall be made to such Principal’s Earnout Percentage.
