Earned Performance Shares definition

Earned Performance Shares means the number of Performance Shares which are earned during the Performance Period as described and calculated in Section 6.

Earned Performance Shares means Shares subject to the PRSUs in respect of which the applicable Performance Objectives, as set out in Section 3.1 and Schedule C to the Agreement, have been achieved and shall become eligible for vesting and payment as set out in Section 3.2.

Earned Performance Shares means Shares subject to the Option in respect of which the applicable Performance Objectives, as set out in Section 3.1, have been achieved and shall become vested and exercisable as set out in Section 3.2.

Examples of Earned Performance Shares in a sentence

• Except as otherwise provided below, the number of Earned Performance Shares, if any, shall become vested as of the final date of the Performance Period (the “Vesting Date”) if the Participant remains in continuous service with the Company for the period beginning on the Grant Date and ending on the Vesting Date.

• The Optionee understands and agrees that the terms under which the Option shall become Earned Performance Shares as described in Section 3.1(a) above and in Exhibit 1 to the Acceptance Form is confidential and the Optionee agrees not to disclose, reproduce or distribute such confidential information concerning the Company, except as required in the course of the Optionee’s employment with the Company or one of its Subsidiaries, without the 5 prior written consent of the Company.

• One-sixth of the Shares subject to the Option shall become Earned Performance Shares with effect from the Earned Date in respect of the year ending December 31, 2008 if in respect of 2008 the Company achieves an Adjusted Earnings Per Share of not less than $2.85 and further one-sixth of the Shares subject to the Option shall become Earned Performance Shares if in respect of 2008 the Company achieves an Adjusted Operating Margin of not less than 24%.

More Definitions of Earned Performance Shares

Earned Performance Shares means Shares subject to the Option in respect of which the applicable performance conditions, as set out in Section 3.1 or as otherwise determined by the Committee, have been achieved and shall become exercisable as set out in Section 3.2.

Earned Performance Shares means Shares subject to the RSUs in respect of which the applicable Performance Objectives, as set out in Section 3.1, have been achieved and shall become eligible for vesting and payment as set out in Section 3.2.

Earned Performance Shares means the number of PRSUs that are deemed earned based on the attainment level of the Performance Objectives set forth in Schedule C of this Agreement; provided that if the BCA Effective Date occurs prior to the end of the Performance Period, Earned Performance Shares shall mean the greater of (i) the number of PRSUs that are deemed earned based on the actual attainment level of the Performance Objectives (and, for the avoidance of any doubt, based on the attainment level of the Performance Objectives over a truncated Performance Period ending on a date prior to the BCA Effective Date if selected by the Committee), and, in any event, in accordance with the provisions of the BCA, and (ii) the target number of PRSUs.

Earned Performance Shares means the number of PRSUs that are deemed earned based on the attainment level of the Performance Objectives set forth in Schedule D of this Agreement.

Earned Performance Shares means any Performance Share award, or portion thereof, under which the applicable performance milestones have been achieved and which therefore remain subject to vesting solely based upon such holder’s continued service with or employment by the Company.

Earned Performance Shares means the number of Performance Shares ranging from 0 to the number of Performance Shares set forth on the Grant Notice earned for the applicable Performance Period based on the achievement of the applicable performance measure.
