The Executive’s employment with the Company shall terminate automatically upon the death of the Executive and the Company shall have no obligation to the Executive or the Executive’s estate other than to pay the Executive (i) the Accrued Amounts, (ii) the Earned Bonus and (iii) the Pro-Rata Bonus.
The total amount of Bonus Payments earned by and paid to Subrecipient during the term of this Agreement shall be referred to as the “Earned Bonus.” In no event shall the Earned Bonus paid under this Agreement exceed the Max Bonus Amount.
An Employee need not obtain prior approval before taking his Earned Bonus Day; he shall, however, give at least 24 hours prior notice, and may be required to defer taking his Earned Bonus Day, if more than ten percent (10%) of the same category Employees in his building will be absent on that day.
Subject to Section 6(g), any Earned Bonus or Accrued Bonus due will be paid in accordance with the form and timing provisions contemplated by Section 4(c) and any Severance Pay or Disability/Death Pay will be paid in one cash lump sum on the 55th day following the end of your employment.
If Executive dies while employed by the Company, the Company shall pay to Executive’s executor, legal representative, administrator or designated beneficiary, as applicable, (i) the Accrued Amounts; (ii) the Pro-Rata Bonus; and (iii) the Prior Earned Bonus.
