The EPP enables buyers (in this case Oldham) to accelerate payment (to Day 5 payment terms from invoice date, as opposed to typical 30-day term) to their suppliers in exchange for an Early Payment Fee (‘EPF’).
The Borrower acknowledges that he or she has had the opportunity to review Section 2.05 and Schedules 2.05(A) and 2.05(B) of the Facility Agreement and has done so to the extent he or she felt necessary to understand the calculation of the Early Payment Fee (which may be substantial).
