Early Payment Amount means the fair market value of such Securities immediately prior to such redemption (which may be nil) taking into consideration all information which the Issuer deems relevant (including, without limitation, the circumstances that resulted in the events causing such redemption) less the cost to the Issuer and/or its affiliates of unwinding any related hedging arrangements in relation to such Securities, all as determined by the Issuer in its discretion acting in good faith and in a commercially reasonable manner.

Early Payment Amount means an amount determined by the Calculation Agent on the second Business Day immediately preceding the due date for the early redemption or settlement of the Securities, representing the fair market value of such Securities taking into account all factors which the Calculation Agent determines relevant (including, if applicable, any accrued interest) (but ignoring the event which resulted in such early redemption) less all costs incurred by the Issuer or any affiliate in connection with such early redemption or settlement, including, without limitation, any costs to the Issuer associated with unwinding any funding relating to the Securities, any costs associated with unwinding any underlying related hedging arrangements, and all other expenses related thereto, as determined by the Calculation Agent in good faith and in a commercially reasonable manner.

In the event of such early termination the Issuer will repay such Security at the Early Payment Amount, which will be determined on the basis of an amount determined by the Calculation Agent as representing the fair market value of such Security immediately prior to such early termination, less any cost to the Issuer, or any affiliate of the Issuer which is hedging the Security on the Issuer's behalf, of unwinding such hedging transactions.

More Definitions of Early Payment Amount

Early Payment Amount means, in respect of each Security, an amount in the Settlement Currency calculated by the Calculation Agent on the same basis as the Redemption Amount as set out in Product Condition 4 below except that for the purposes of this definition Share Final shall mean the Preference Share Value on the Early Redemption Valuation Date.
