Duties and Authority. Executive will have such duties and authority as is customarily exercised by chief executive officers of similar organizations, including authority to hire, fire and determine the compensation of Instinet's senior executives and other key employees based on Instinet's corporate governance principals and procedures and those of the Instinet Compensation Committee (the "Committee").
