DUE DILIGENCE EXERCISE definition

DUE DILIGENCE EXERCISE means the exercise carried out in relation to each Country in accordance with Clause 4 (Due Diligence) of the Framework Agreement which includes the production of the Due Diligence Reports;

If such Insolvency, Nationalization, Merger Event or Tender Offer involves a choice of consideration to be received by holders, such holder shall be deemed to have elected to receive the maximum possible amount of cash.

  • Seller Use means fuel used for gas compression, LPG plants and LNG plants, other gas needed by Seller's facilities to furnish the requirements of Buyers, together with unaccounted for gas. This gas shall be considered included in Priority of Service Category 1. Other vital uses of Seller, such as flame stabilization requirements, will be met as long as such uses do not jeopardize service to its firm service Buyers.
