DSR LC Commitment definition

DSR LC Commitment means the commitment of each DSR Issuing Bank to issue and continue to make available a DSR Letter of Credit and make DSR LC Loans to the Borrower in respect of its Debt Service Reserve Letter of Credit, in an aggregate stated or principal amount at any one time not to exceed the amount, expressed as a Dollar amount, set forth under the heading “DSR LC Commitment” opposite such DSR Issuing Bank’s name on Schedule 1.1A, as such amount may be reduced from time to time pursuant to Section 2.10. The aggregate amount of the DSR LC Commitments of all DSR Issuing Banks on the Closing Date shall be $17,488,832.59.
DSR LC Commitment means the commitment of each DSR LC Issuing Bank to issue and continue to make available one or more DSR Letter of Credit for each Term Loan Tranche and make DSR LC Loans to the Borrower in respect of its DSR Letter of Credit, in an aggregate stated or principal amount at any one time not to exceed the amount, expressed as a Dollar amount, set forth under the heading “DSR LC Commitment” opposite such DSR LC Issuing Bank’s name on Schedule 1.1A, as such amount may be reduced from time to time pursuant to Section 2.10. The aggregate amount of the DSR LC Commitments of all DSR LC Issuing Banks on the Closing Date shall be $12,500,000.
DSR LC Commitment means, at any time with respect to each Lender, such Lender’s commitment to make DSR LC Loans and otherwise reimburse the DSR LC Issuers for any draws under a DSR Letter of Credit issued hereunder, as such commitment may be (a) reduced from time to time pursuant to Section 2.1.6(d) and (b) reduced or increased from time to time pursuant to assignments by or to such Lender under Section 9.14.

Examples of DSR LC Commitment in a sentence

  • The "Indemnity Share" of each Related Bank at any time shall be a fraction (expressed as a decimal), the numerator of which shall be such Related Bank's Parallel Funding Commitment at such time, and the denominator of which shall be the aggregate of the then current Total Construction Loan Commitment, Total Working Capital/Project LC Commitment and Total DSR LC Commitment.

  • The Total DSR LC Commitment shall not be reduced if the effect thereof would be to cause (1) the DSR LC Exposure to exceed the Total DSR LC Commitment or (2) Borrower to fail to satisfy its obligations under Section 4.5 of the Depositary Agreement.

DSR LC Commitment means with respect to each DSR Issuing Bank, the commitment of each DSR Issuing Bank to issue and continue to make available each DSR Letter of Credit for each Project and make DSR LC Loans to the Borrower in respect of each such DSR Letter of Credit, in an aggregate stated or principal amount at any one time not to exceed the amount, expressed as a Dollar amount, set forth under the heading “DSR LC Commitment” opposite each such DSR Issuing Bank’s name on Schedule 1.1A, as such amount may be reduced from time to time pursuant to Section 2.10 (and, in respect of each Project, as such amount has been allocated to each Project pursuant to Annex 2). The aggregate amount of the DSR LC Commitments of each DSR Issuing Bank on the Signing Date shall be with respect to (i) Mizuho Bank, Ltd. DSR Issuing Bank, $3,100,000 and (ii) Gxxxxxx Sxxxx Bank USA DSR Issuing Bank, $900,000.
DSR LC Commitment means the commitment of a DSR LC Lender to make LC Loans to Borrower, up to an aggregate amount, at any one time outstanding, not in excess of such DSR LC Lender’s Proportionate Share (Commitment) of the Total DSR LC Commitment at such time.

Related to DSR LC Commitment

  • LC Commitment means that portion of the Aggregate Revolving Commitment Amount that may be used by the Borrower for the issuance of Letters of Credit in an aggregate face amount not to exceed $15,000,000.

  • L/C Commitment means the commitment of the Issuing Bank to issue Letters of Credit pursuant to Section 2.23.

  • LOC Commitment means the commitment of the Issuing Lender to issue Letters of Credit and with respect to each Lender, the commitment of such Lender to purchase participation interests in the Letters of Credit up to such Lender's LOC Committed Amount as specified in Schedule 2.1(a), as such amount may be reduced from time to time in accordance with the provisions hereof.

The amount of each Lender’s Revolving Commitment, if any, is set forth on Appendix A-3 or in the applicable Assignment Agreement, subject to any adjustment or reduction pursuant to the terms and conditions hereof. The aggregate amount of the Revolving Commitments as of the Closing Date is $60,000,000.

  • Undrawn Commitment means, with respect to any Revolving Lender at any time, an amount (which may not be less than zero) equal to (i) such Lender’s Revolving Commitment at such time minus (ii) the aggregate outstanding principal amount of Revolving Loans held by such Revolving Lender at such time.

  • Unused Revolving Commitment means, for any Lender at any time, the excess of (i) such Lender’s Revolving Commitment at such time over (ii) such Lender’s Revolving Facility Exposure at such time.

  • Total Revolving Commitment means, at any time, the sum of the Revolving Commitments at such time.

  • Revolving Facility Commitment means, with respect to each Revolving Facility Lender, the commitment of such Revolving Facility Lender to make Revolving Facility Loans pursuant to Section 2.01(b), expressed as an amount representing the maximum aggregate permitted amount of such Revolving Facility Lender’s Revolving Facility Credit Exposure hereunder, as such commitment may be (a) reduced from time to time pursuant to Section 2.08, (b) reduced or increased from time to time pursuant to assignments by or to such Lender under Section 9.04, and (c) increased (or replaced) as provided under Section 2.21. The aggregate amount of the Lenders’ Revolving Facility Commitments on the Closing Date is $50,000,000. On the Closing Date, there is only one Class of Revolving Facility Commitments. After the Closing Date, additional Classes of Revolving Facility Commitments may be added or created pursuant to Incremental Assumption Agreements.

  • Revolving Committed Amount shall have the meaning set forth in Section 2.1(a).

  • LOC Committed Amount means, collectively, the aggregate amount of all of the LOC Commitments of the Lenders to issue and participate in Letters of Credit as referenced in Section 2.4 and, individually, the amount of each Lender’s LOC Commitment as specified in Schedule 2.1(a).

  • Revolving Commitment Fee has the meaning specified in Section 2.09(a).

  • Revolving L/C Exposure of any Class shall mean at any time the sum of (a) the aggregate undrawn amount of all Letters of Credit applicable to such Class outstanding at such time (calculated, in the case of Alternate Currency Letters of Credit, based on the Dollar Equivalent thereof) and (b) the aggregate principal amount of all L/C Disbursements applicable to such Class that have not yet been reimbursed at such time (calculated, in the case of Alternate Currency Letters of Credit, based on the Dollar Equivalent thereof). For all purposes of this Agreement, if on any date of determination a Letter of Credit has expired by its terms but any amount may still be drawn thereunder by reason of the operation of Rule 3.14 of the International Standby Practices, International Chamber of Commerce No. 590, such Letter of Credit shall be deemed to be “outstanding” in the amount so remaining available to be drawn. Unless otherwise specified herein, the amount of a Letter of Credit at any time shall be deemed to be the stated amount of such Letter of Credit in effect at such time; provided, that with respect to any Letter of Credit that, by its terms or the terms of any document related thereto, provides for one or more automatic increases in the stated amount thereof, the amount of such Letter of Credit shall be deemed to be the maximum stated amount of such Letter of Credit after giving effect to all such increases, whether or not such maximum stated amount is in effect at such time.

  • Revolving Credit Commitment means, as to each Revolving Credit Lender, its obligation to (a) make Revolving Credit Loans to the Borrower pursuant to Section 2.01(b), (b) purchase participations in L/C Obligations, and (c) purchase participations in Swing Line Loans, in an aggregate principal amount at any one time outstanding not to exceed the amount set forth opposite such Lender’s name on Schedule 2.01 under the caption “Revolving Credit Commitment” or opposite such caption in the Assignment and Assumption pursuant to which such Lender becomes a party hereto, as applicable, as such amount may be adjusted from time to time in accordance with this Agreement.

  • Revolving Loan Commitment means the commitment of a Revolving Lender to make Revolving Loans to Company pursuant to subsection 2.1A(ii), and “Revolving Loan Commitments” means such commitments of all Revolving Lenders in the aggregate.

  • Canadian Commitment means the obligation of the Canadian Lender to (a) make Canadian Loans to the Canadian Borrowers and (b) issue Canadian Letters of Credit for the account of the Canadian Borrowers pursuant to Section 2.03, in an aggregate principal amount at any one time outstanding not to exceed C$15,000,000, as such amount may be adjusted from time to time in accordance with this Agreement.

  • Extended Revolving Commitment shall have the meaning assigned to such term in Section 2.19(a).
