Dollar Denominated Securities definition

Dollar Denominated Securities means the $800,000,000 107/8% Senior Notes, together with the Exchange Dollar Denominated Securities.
Dollar Denominated Securities means the $200,000,000 10 7/8% Senior Notes, together with the Exchange Dollar Denominated Securities.
Dollar Denominated Securities. Securities denominated in a currency other than U.S. dollars. These securities must conform to the quality, concentration and other characteristics set forth by the guidelines.

  • Notwithstanding any provisions of this Indenture or the Securities, transfers of a Dollar Denominated Global Security, in whole or in part, transfers and exchanges of interests therein of the kinds described in clauses (ii), (iii) and (iv) below and exchange of interests in Dollar Denominated Global Securities or of other Dollar Denominated Securities as described in clause (v) below, shall be made only in accordance with this Section 3.13(b).

  • Exchange Dollar Denominated Securities and Exchange Euro Denominated Securities shall constitute Unrestricted Securities.

  • No transfer of a Dollar Denominated Security of any series to any Person shall be effective under this Indenture or the Dollar Denominated Securities of such series unless and until such Dollar Denominated Security has been registered in the name of such Person.

  • The Depositary for the Dollar Denominated Securities shall be DTC unless the Company appoints a successor Depositary by delivery of a Company Order to the Trustee specifying such successor Depositary.

  • At the option of the Holder, Securities may be exchanged for other Securities of any authorized denomination and of a like currency and aggregate principal amount (including an exchange of Initial Securities for Exchange Securities), upon surrender of the Securities to be exchanged at such office or agency provided that Dollar Denominated Securities may not be exchanged for Euro Denominated Securities, and vice versa.

  • Notwithstanding the satisfaction and discharge of this Indenture, the obligations of the Company to the Trustee under Section 6.7 and, if U.S. Dollars (in the case of the Dollar Denominated Securities) or European Legal Tender (in the case of the Euro Denominated Securities) shall have been deposited with the Trustee pursuant to clause(1)(b) of this Section 4.1, the obligations of the Trustee under Section 4.2 and the last paragraph of Section 10.3 shall survive.

  • The Securities (including any Global ------------- Security) shall be issuable only in registered form without coupons and only in denominations of US$1,000 in the case of the Dollar Denominated Securities or (Euro)1,000 in the case of Euro Denominated Securities or any integral multiple of US$1,000 or (Euro)1,000, as the case may be, above such amount.

  • Any such delivery of Dollar Denominated Securities shall only be deemed to constitute payment of the applicable Obligation upon receipt by the Administrative Agent of the full amount of Dollars due in respect thereof.

  • Liquid Securities means securities that are publicly traded on the New York Stock Exchange, NYSE MKT, the Nasdaq Stock Market or any other regulated stock exchange in the United States, Canada, Europe or Australia (or any of their successors) and as to which the Company is not subject to any restrictions on sale or transfer (including any volume restrictions under Rule 144 under the Securities Act or any other restrictions imposed by the Securities Act) or as to which a registration statement under the Securities Act covering the resale thereof is in effect for as long as the securities are held; provided that securities meeting such requirements shall be treated as Liquid Securities from the date of receipt thereof until and only until the earlier of (a) the date on which such securities are sold or exchanged for cash or Cash Equivalents and (b) 180 days following the date of receipt of such securities. If such securities are not sold or exchanged for cash or Cash Equivalents within 180 days of receipt thereof, for purposes of determining whether the transaction pursuant to which the Company or a Restricted Subsidiary received the securities was in compliance with Section 4.12 , such securities shall be deemed not to have been Liquid Securities at any time.

  • Dollar LC Exposure means, at any time, the sum of (a) the aggregate undrawn amount of all outstanding Dollar Letters of Credit at such time plus (b) the aggregate amount of all LC Disbursements in respect of such Letters of Credit that have not yet been reimbursed by or on behalf of the Borrower at such time. The Dollar LC Exposure of any Lender at any time shall be its Applicable Dollar Percentage of the total Dollar LC Exposure at such time.

  • CDS Global Warrants means Warrants representing all or a portion of the aggregate number of Warrants issued in the name of the Depository represented by an Uncertificated Warrant, or if requested by the Depository or the Corporation, by a Warrant Certificate;

  • Unregistered Securities The meaning specified in Section 5.17(c).

  • Foreign Currencies means Agreed Currencies other than Dollars.

  • Alternate Currency Loan means any Loan denominated in an Alternate Currency.
