D&O Indemnified Party has the meaning set forth in Section 5.8(a).

• The exculpation and indemnification provided for by this Section 7.3 shall not be deemed to be exclusive of any other rights to which a D&O Indemnified Party is entitled, pursuant to applicable Law or Contract made available to AbbVie prior to the date hereof.

• The provisions of this Section 6.11 shall survive the Closing Date and are intended to be for the benefit of, and shall be enforceable by, each D&O Indemnified Party and their respective heirs, successors and assigns.

• In the event of any such Legal Proceeding, Parent and the Surviving Corporation shall cooperate with the D&O Indemnified Party in the defense of any such Legal Proceeding.
