Division Employees has the meaning set forth in Section 7(l).

Division Employees means those individuals who are employed by any Seller in the Division as of the Closing Date, a preliminary list of whom as of December 18, 1997 has been delivered by Sellers to Buyer prior to the date hereof and a definitive list of whom as of the close of business on the date prior to the Closing Date has been delivered by Sellers to Buyer at Closing. Division Employees shall include all individuals who are described in the first sentence hereof and who are, as of the Closing Date, on an approved leave of absence with a right to return to active employment.

The inactive employees described in clauses (c) and (d) will be deemed to be Division Employees only at such time, if any, as such employees are recalled, reinstated or reemployed by the Purchaser after the Closing Date. All "Division Employees" shall be listed on the attached Schedule 6.13.

Division Employees means those persons employed by Seller whose duties and responsibilities relate primarily to the business of the Division and are located in Sussex, Wisconsin.
