Dividend Shares definition

Dividend Shares means the shares of Common Stock issuable in payment of dividends payable on the Preferred Shares in accordance with the terms of the Certificate of Designation.
Dividend Shares means shares of Series A Convertible Preferred Stock issued as dividends on outstanding shares of Series A Convertible Preferred Stock in accordance with Section 5(b).
Dividend Shares means a number of Shares equal to the value of dividends paid on the Shares subject to an Award over all or any part of the Vesting Period and which may be added to a Vesting Portion on a Vesting Date as determined by the Committee;

Examples of Dividend Shares in a sentence

  • The amount available for the acquisition of Dividend Shares for a Participant's Account at the end of each fiscal quarter of the Corporation shall be determined by multiplying the total cash dividend declared per share of Common Stock during such quarter (but subsequent to the date of the award in the case of Participation Shares and subsequent to the date of crediting in the case of Dividend Shares) by the total of the Participation Shares and Dividend Shares in the Participant's Account.

  • Dividend Shares shall be deemed to constitute outstanding shares for purposes of subsequent dividend payments by the Company.

Dividend Shares means Shares acquired on behalf of a Participant from the reinvestment of dividends under Part D of the Plan and which are subject to the Plan;
