• No Distressed Disposal may be made in whole or part for Non-Cash Consideration if a Security Agent has reasonable grounds for believing that its receiving, distributing, holding, managing, exploiting, collecting, realising or disposing of that Non-Cash Consideration would have an adverse effect on it.

• In the case of a Distressed Disposal effected by, or at the request of, a Security Agent, that Security Agent shall take reasonable care to obtain a fair market price having regard to the prevailing market conditions (though that Security Agent shall have no obligation to postpone (or request the postponement of) any Distressed Disposal in order to achieve a higher price).

More Definitions of Distressed Disposal

Distressed Disposal has the meaning assigned to such term in Section 2.06(f) hereof.
