Dissolution Events definition

Dissolution Events has the meaning assigned to it in Section 11.1 hereof.

• Neither the Issuer nor the Certificateholders shall be entitled to redeem, or cause to be redeemed, as applicable, the Certificates, otherwise than as provided in this Condition 11 (Capital Distributions) and Condition 15 (Dissolution Events).

• The Representative shall have the powers set out in Condition 15 (Dissolution Events) and Condition 16 (Enforcement and Exercise of Rights) to determine whether any Dissolution Event has occurred and to decide, in the case of a Dissolution Event only, pursuant to the provisions therein, whether the Certificates should become immediately due and payable.

• For these purposes, Exchange Event means that: (a) the Delegate has given notice in accordance with Condition 13 (Dissolution Events) that a Dissolution Event has occurred and is continuing; or (b) the relevant ICSD is closed for business for a continuous period of 14 days (other than by reason of holiday, statutory or otherwise) or have announced an intention permanently to cease business or have in fact done so and no successor or alternative clearing system satisfactory to the Delegate is available.

• Upon the occurrence of a Dissolution Event, the Certificates shall be redeemed at the Dissolution Event Amount, subject to and as more particularly described in Condition 15 (Dissolution Events) and this Condition 11 (Capital Distributions).

Dissolution Events means as set forth in Section 9.1. “Distributable Cash” shall mean as set forth in Section 4.2.

Dissolution Events means the events as identified in paragraph 2(v) of the Principal Terms and Conditions of the Sukuk Programme as set out in Section 2.0 of this Information Memorandum.
