Disposal Date definition

Disposal Date means the date that the disposing execu- tive agency relinquishes responsibility for an aircraft, for example, when the agency transfers title in the case of a sale or exchange; returns the aircraft to the lessor or bailer; declas- sifies it (for FAIRS, declassification is considered a “dis- posal” action, even though the agency retains the property); or relinquishes custody to another agency (i.e., in the case of excess (transferred) or surplus (donated or sold) aircraft).

Disposal Date means each date on which Securities Collateral is liquidated following an Event Determination Date to allow the Issuer to meet its obligations under the Swap Agreements to pay the Aggregate Settlement Amount. For the avoidance of doubt, the Disposal Date may not be later than the Cash Settlement Date relating to the relevant Event Determination Date.

Disposal Date means the date by which the Issuer must have effected settlement of the sale of any Disposal Assets in order to comply with its obligations under any Series, subject to Base Condition 10.3.

Examples of Disposal Date in a sentence

• Should the Disposal Agent be unable to obtain Full Quotations from at least three (3) Dealers on the Disposal Date, it shall attempt to obtain at least one Full Quotation from at least one (1) Dealer over the next three (3) Business Days (each such Business Day a “ Fallback Disposal Date”) and shall dispose of the Underlying Assets on the first Fallback Disposal Date on which it receives a Full Quotation.

• On such Disposal Date, at 11am in the principal market of the Underlying Assets, the Disposal Agent shall attempt to obtain Full Quotations with respect to the Underlying Assets from at least three (3) Dealers on the Disposal Date, and shall sell the Underlying Assets to the highest bidder.

• One (1) part (the “Referee Sample”) shall be retained by Seller until the Disposal Date.

• Unless Buyer requests an analysis of the Referee Sample before the Disposal Date, Seller’s analysis shall be used to determine the quality of the coal under this Agreement and shall be the Payment Analysis.

• If any dispute arises with regard to the analysis of any sample before the Disposal Date for such sample, the Referee Sample retained by Seller shall be submitted for analysis to an independent commercial testing laboratory (“Independent Lab”) mutually chosen by Buyer and Seller.

More Definitions of Disposal Date

Disposal Date means: (i) in case of a sale or other disposal of the Vessel, the date on which the sale or other disposal is completed by delivery of the Vessel to the buyer; (ii) in case of a sale or other disposal of all shares in the Borrower, the date of transfer of such shares from the Intermediate Parent to the buyer; or (iii) in the case of a Total Loss, on the earlier of (i) the date falling one hundred and twenty (120) days after the Total Loss Date and (ii) the receipt by the Agent (on behalf of the Lenders) of the proceeds of Insurance relating to such Total Loss (or in the event of a requisition for title of the Vessel, immediately after the occurrence of such requisition of title). b) If the Vessel is sold or otherwise disposed of, or it becomes a Total Loss, or all shares in the Borrower is sold or otherwise disposed of, the Borrower shall be obliged to prepay the outstanding Loans under this Agreement in full, together with accrued interest, and settle all costs and fees, and all outstanding amounts under Hedging Agreements related to such Loans and Vessel, on the Disposal Date, and concurrently all related Commitments shall be automatically cancelled. 7.3
