Examples of Discount Securities in a sentence

  • If the principal amount of any Security surrendered for repayment shall not be so repaid upon surrender thereof, such principal amount (together with interest, if any, thereon accrued to such Repayment Date) shall, until paid, bear interest from the Repayment Date at the rate of interest or Yield to Maturity (in the case of Original Issue Discount Securities) set forth in such Security.

  • If an Event of Default described in clauses (d) or (e) occurs and is continuing, then and in each and every such case, the entire principal (or, if any Securities are Original Issue Discount Securities, such portion of the principal as may be specified in the terms thereof) of all the Securities then Outstanding and interest accrued thereon, if any, shall become immediately due and payable.

  • The Company shall file with the Trustee promptly at the end of each calendar year (i) a written notice specifying the amount of original issue discount (including daily rates and accrual periods) accrued on any Outstanding Original Issue Discount Securities as of the end of such year and (ii) such other specific information relating to such original issue discount as may then be relevant under the Code, as amended from time to time.

  • If any of the Securities is an Original Issue Discount Security, the Company shall file with the Trustee promptly at the end of each calendar year (1) a written notice specifying the amount of original issue discount (including daily rates and accrual periods) accrued on such Outstanding Original Issue Discount Securities as of the end of such year and (2) such other specific information relating to such original issue discount as may then be relevant under the Internal Revenue Code.

More Definitions of Discount Securities

Discount Securities means the U.S. Dollar-denominated 9.5% Senior Discount Notes due 2014 issued by the Issuer, including, without limitation, the Discount Exchange Securities and the Additional Discount Securities, treated as a single class of securities, as amended from time to time in accordance with the terms hereof, that are issued pursuant to this Indenture.
Discount Securities means any Securities which is issued with "original issue discount" within the meaning of Section 1273(a) of the Code (or any successor provision) and the regulations thereunder.
Discount Securities means a Security issued pursuant to this Indenture which is offered for a price less than the principal thereof to be due and payable at Maturity.
Discount Securities means non-interest bearing money market instruments that are issued at a discount and redeemed at maturity for full face value, e.g., U.S. Treasury bills.
Discount Securities. Any Collateral Debt Obligation acquired by the Issuer (including Collateral Debt Obligations purchased by the Issuer prior to the Closing Date with financing obtained pursuant to the Credit and Warehouse Agreement) at a price that is less than 85% of par; provided that any Collateral Debt Obligation that is classified as a Discount Security upon its acquisition by the Issuer shall cease to be so classified beginning on the first day after such acquisition on which such Collateral Debt Obligation shall have maintained a Market Value equal to or greater than 90% of par for a period of 30 consecutive days.

  • Discount Security means any Security that provides for an amount less than the stated principal amount thereof to be due and payable upon declaration of acceleration of the maturity thereof pursuant to Section 6.2.
