Disclosure of Confidential Information. Confidential Information" means all information known by Employee, because of employment by the Company, about the Company's present or prospective products, processes, services, or activities. Confidential Information does not include information generally known, other than through breach of a confidentiality agreement with the Company, in the industries in which the Company engages or may engage. The determination as to whether information is generally known in the industries in which the Company engages or may engage will be made, in good faith, solely by the Company and will be binding on Employee. Employee will never, during or after the Employment Period, directly or indirectly, use any Confidential Information except in the performance of Employee's duties for the Company, or publish or disclose any Confidential Information except to persons to whom disclosure of Confidential Information is necessary in the performance of Employee's duties and to other persons as directed by the Company. The Company has the right to decide in what circumstances disclosures of Confidential Information are necessary. Employee will use his best efforts to prevent unauthorized use or disclosure of Confidential Information. Upon termination of employment with the Company, Employee will deliver to the Company all writings relating to or containing Confidential Information, including, without limitation, notes, memoranda, letters, drawings, diagrams and printouts and also including any tapes, discs or other forms of recorded information. Full compliance with this paragraph is a condition of continued employment with, retention by or association with, the Company. If Employee violates any provision of this paragraph during the Employment Period, the Company may immediately discharge Employee without any liability for Salary or an other liability to Employee after the date of discharge. If Employee violates any provision of this paragraph during or after the Employment Period, the Company will have no further liability to Employee, including rights, benefits, privileges or other interests which may have vested for Employee's account during the Employment Period. Disclosure of Confidential Information means:
Disclosure of Confidential Information means the actions of the other Party unauthorized by the relevant Party, as a result of which any third parties gain access and the opportunity to familiarize themselves with Confidential Information. The disclosure of Confidential Information also recognizes the inaction of the Party concerned, which is expressed in the failure to provide an adequate level of protection for the Confidential Information and entailed access to such information by any third parties.

Notwithstanding the foregoing, Company Confidential Information shall not include any such information which I can establish (i) was publicly known or made generally available prior to the time of disclosure by the Company to me; (ii) becomes publicly known or made generally available after disclosure by the Company to me through no wrongful action or omission by me; or (iii) is in my rightful possession, without confidentiality obligations, at the time of disclosure by the Company as shown by my then-contemporaneous written records; provided that any combination of individual items of information shall not be deemed to be within any of the foregoing exceptions merely because one or more of the individual items are within such exception, unless the combination as a whole is within such exception. I understand that nothing in this Agreement is intended to limit employees’ rights to discuss the terms, wages, and working conditions of their employment, as protected by applicable law.

  • Fund Confidential Information means Confidential Information for which the Fund is the Disclosing Party.

  • Confidential Information Breach means, generally, an instance where an unauthorized person or entity accesses Confidential Information in any manner, including but not limited to the following occurrences: (1) any Confidential Information that is not encrypted or protected is misplaced, lost, stolen or in any way compromised; (2) one or more third parties have had access to or taken control or possession of any Confidential Information that is not encrypted or protected without prior written authorization from the State; (3) the unauthorized acquisition of encrypted or protected Confidential Information together with the confidential process or key that is capable of compromising the integrity of the Confidential Information; or (4) if there is a substantial risk of identity theft or fraud to the client, the Contractor, the Department or State.

  • Supplier's Confidential Information means any information, however it is conveyed, that relates to the business, affairs, developments, trade secrets, Know-How, personnel and suppliers of the Supplier, including IPRs, together with information derived from the above, and any other information clearly designated as being confidential (whether or not it is marked as "confidential") or which ought reasonably to be considered to be confidential;

  • Highly Confidential Information means Proprietary Information that is marked “Highly Confidential Information” when disclosed in written form or is otherwise designated as such hereunder.

  • Confidential Data used in connection with their businesses. “Personal Data” means (i) a natural person’s name, street address, telephone number, e-mail address, photograph, social security number or tax identification number, driver’s license number, passport number, credit card number, bank information, or customer or account number; (ii) any information which would qualify as “personally identifying information” under the Federal Trade Commission Act, as amended; (iii) “personal data” as defined by GDPR; (iv) any information which would qualify as “protected health information” under the Health Insurance Portability and Accountability Act of 1996, as amended by the Health Information Technology for Economic and Clinical Health Act (collectively, “HIPAA”); (v) any “personal information” as defined by the California Consumer Privacy Act (“CCPA”); and (vi) any other piece of information that allows the identification of such natural person, or his or her family, or permits the collection or analysis of any data related to an identified person’s health or sexual orientation. There have been no breaches, violations, outages or unauthorized uses of or accesses to same, except for those that have been remedied without material cost or liability or the duty to notify any other person, nor any incidents under internal review or investigations relating to the same. The Company and its subsidiaries are presently in material compliance with all applicable laws or statutes and all judgments, orders, rules and regulations of any court or arbitrator or governmental or regulatory authority, internal policies and contractual obligations relating to the privacy and security of IT Systems, Confidential Data, and Personal Data and to the protection of such IT Systems, Confidential Data, and Personal Data from unauthorized use, access, misappropriation or modification.

  • Confidential commercial information means records provided to the govern- ment by a submitter that arguably contain material exempt from release under Exemption 4 of the Freedom of Information Act, 5 U.S.C. 552(b)(4), be- cause disclosure could reasonably be expected to cause substantial competi- tive harm.
