Disclosure Material definition

Disclosure Material has the meaning specified in Section 4.6(a) hereof.

Disclosure Material means the material disclosed to the Purchaser in respect of the Sale Interest up until the Completion Date, including the material described in Schedule 3.

• Unless otherwise provided in the Underwriting Agreement, the Company will prepare a pricing term sheet to be included in the Pricing Disclosure Material as a Permitted Free Writing Prospectus which shall be approved by the Representatives and filed by the Company pursuant to Rule 433(d) under the 1933 Act within the time period prescribed by such Rule.

Disclosure Material has the meaning given in clause (c) (“Buyer consents, acknowledgments and confirmations”).

Disclosure Material means all information and documentation (and all matters inferred therefrom) disclosed, described, contained in or referred to in this Agreement, the Completion Disclosure Letter, the Disclosure Letter, the Disclosure Bundle and the Data Room and all attachments thereto.
