Examples of Disclosing Party in a sentence
Each Party (the “Receiving Party”) will maintain the other Party’s Confidential Information in strict confidence, and will not use the Confidential Information of the Disclosing Party except as necessary to perform its obligations or exercise or enforce its rights under this Agreement.
If the Receiving Party is compelled by law to disclose the Disclosing Party’s Confidential Information as part of a civil proceeding to which the Disclosing Party is a party, and the Disclosing Party is not contesting the disclosure, the Disclosing Party will reimburse the Receiving Party for its reasonable cost of compiling and providing secure access to such Confidential Information.
Receiving Party will notify Disclosing Party immediately upon discovery of any suspected unauthorized use, copying or disclosure of Confidential Information or any other breach of this Agreement.
Receiving Party will not and will prevent the Personnel from using any trade name, trademark, service mark, logo or commercial symbol, or any other proprietary rights of Disclosing Party or any of its Affiliates in any manner without prior written authorization of such use by an authorized signatory of Disclosing Party.
Receiving Party will not and shall ensure that its Personnel shall not disclose any Confidential Information of Disclosing Party or any of its Affiliates, issue press releases or publicity relating to Disclosing Party or the existence or contents of this Agreement or reference Disclosing Party or its Affiliates to any third party or in any brochures, advertisements, client lists or other promotional materials.
