In addition, upon termination for permanent disability, the Executive shall continue to participate, to the extent permitted by applicable law and regulations and the applicable benefit plan, program or arrangement, in any and all healthcare, life insurance and accidental death and dismemberment insurance benefit plans, programs or arrangements of the Company during the Disability Continuation Period (disregarding any required delay in payments under Section 6(j)).
The Company shall continue to pay to the Executive the Base Salary in effect as of the date on which the Notice of Termination was delivered for one (1) year following the Termination Date (such period being the "Disability Continuation Period"), which amount shall be reduced by any amount payable to the Executive under any disability plan maintained by the Company for the benefit of the Executive.

For purposes of applying Sections 8 and 9 to any Continuation Period or Disability Continuation Period or Restriction Period, "Affiliates" of the Company shall (i) be determined as of the earlier of the date of termination of Executive's employment with the Company or Executive's notice of resignation to the Company and (ii) include any subsidiary of the Company, or any entity directly or indirectly controlled by the Company or any such subsidiary as of such date.
During the Disability Continuation Period, the Employee (and, where applicable, his dependents) shall be entitled to continue participation in the group insurance plans maintained by the Company, including life, disability and health insurance programs, as if he were still an employee of the Company.
During the Employment Term, any Extended Employment Term and any Continuation Period or Disability Continuation Period, Executive will not (i), directly or indirectly, engage in any activity in competition with the Company or its Affiliates or (ii) plan, or otherwise take, any preliminary steps, either alone or in concert with others, to set up or engage in any semiconductor manufacturing or designing in competition with the Company or its Affiliates.
