Directors Meetings definition

Directors Meetings means meetings of the Directors, as regulated by clause 7.2;
Directors Meetings. By a regular act, Directors may provide for meetings at stated intervals without l~ notice, and special meetings may be called at any time by two or more Directors upon three days' written ' notice, which may be waived. At any regular or special meeting, a MAJORITY of the Directors shall constitute a quorum for conducting business, PROVIDED, affirmative action may be taken only upon a MAJORITY vote of all Directors, whether present or absent except that at special meetings called for a special purpose the MAJORITY present may affirmatively act in emergency matters.
Directors Meetings means those meetings called by the Board as set forth in Article IV, Sections 12-15 for the purpose of conducting business.

In this Agreement, unless a clear contrary intention appears, (i) the word “including” (in its various forms) means “including, without limitation;” (ii) the words “hereunder,” “hereof,” “hereto” and words of similar import are references in this Agreement as a whole and not to any particular provision of this Agreement; (iii) the word “or” is not exclusive; (iv) defined terms used in the singular include the plural and vice versa; and (v) references to “Sections” in this Agreement are references to Sections of this Agreement unless otherwise indicated.

  • meeting of shareholders means an annual meeting of shareholders or a special meeting of shareholders;

  • Holders’ Meeting means a meeting among the Holders held in accordance with Clause 17 (Holders’ Meeting).

  • Court Meeting means the meeting(s) of the Scheme Shareholders to be convened by order of the Court pursuant to section 896 of the Companies Act, notice of which will be set out in the Scheme Document, for the purpose of approving the Scheme, including any adjournment thereof;
