DIP Facility Term Sheet definition

DIP Facility Term Sheet means that certain DIP Facility Term Sheet between Debtor SC SJ, as borrower, and the DIP Lender, as lender, attached as Exhibit A to the Financing Interim Order (as such term sheet was amended pursuant to the Financing Final Order and as may be further amended, supplemented, or otherwise modified from time to time).

DIP Facility Term Sheet means that certain DIP Facility Term Sheet, dated as of November 17, 2020, as amended, modified, or supplemented from time to time, by and among the Debtors as borrowers and the DIP Lender, by the Amended DIP Facility Term Sheet and the Second Amended DIP Facility Term Sheet.

DIP Facility Term Sheet means the term sheet, attached as Exhibit A to the RSA, setting forth the material terms of the DIP Facility.

• Participation in the DIP Facility will be open to all holders of the 8.875% Senior Secured Notes due 2018 (the “Secured Noteholders,” and those Secured Noteholders that elect to participate in the DIP Facility, the “DIP Lenders”), and shall be fully backstopped by the DIP Backstop Parties (as defined in the DIP Facility Term Sheet) on the terms and conditions set forth in the DIP Facility Term Sheet.

• This Amendment constitutes DIP Credit Documentation for all purposes under the DIP Facility Term Sheet.

• Notwithstanding anything contained in this Agreement to the contrary, nothing herein shall obligate the RCS Debtors or Non-RCS Debtors to execute or file any agreement, document, pleading or order, as the case may be, that materially conflicts with any of the DIP Facility Term Sheet, the Exit Facility Term Sheet, the New Second Lien Facility Term Sheet, the Plan Term Sheet or the Non-RCS Debtors Plan Term Sheet and, in each case, including all exhibits thereto.

DIP Facility Term Sheet means the term sheet, which is attached as Exhibit G to the Disclosure Statement, which sets forth the material terms of the DIP Facility.

DIP Facility Term Sheet means that certain DIP Facility Term Sheet annexed as Annex B to the Restructuring Support Agreement (as amended, supplemented, or otherwise modified from time to time in accordance therewith and in accordance with the terms of the Restructuring Support Agreement, the DIP Facility Loan Agreement and the DIP Orders).

DIP Facility Term Sheet means the term sheet setting forth the material terms for the debtor-in-possession financing facility attached hereto as Exhibit A and any modification, supplement or amendment thereto, which modification, supplement or amendment shall be in form and substance acceptable to (i) the Company, (ii) the Requisite Supporting Parties, (iii) to the extent relating to the First Lien Lenders and First Lien Agent, the First Lien Agent, (iv) to the extent related to the Second Lien Lenders and the Second Lien Agent, the Second Lien Agent and (v) Luxor (only as specifically set forth in Section 10 herein).

DIP Facility Term Sheet means the term sheet attached hereto as Exhibit F.
