Diluted Shares definition

Diluted Shares as of a given date shall mean the total diluted weighted-average of common shares of the Company outstanding as of such date.
Diluted Shares means, as of any applicable time, shares of Common Stock issued and outstanding as of such time plus shares of Common Stock issuable upon conversion, redemption, exchange, exercise of or as a dividend declared as of the time of measurement with respect to, any shares of preferred stock, options, warrants, debentures and other securities or any subscription rights.
Diluted Shares means, for a given fiscal year, the total number of Shares outstanding on a fully diluted basis calculated in accordance with GAAP as of the last day of such fiscal year on a pro forma basis adjusted for acquisitions or divestitures.

Diluted Shares means the outstanding common shares plus the number of shares of common stock into which any outstanding shares of preferred stock are convertible by the holder without payment or material conditions to conversion.
Diluted Shares means the number of “Diluted shares and OP units outstanding” as set forth in, or as described in, or as determined for the purpose of, the Company’s Supplemental Financial Disclosure Presentation for the applicable year (as historically filed with the Company’s earnings release on Form 8-K following the end of each calendar year).

Diluted Shares means the sum, without duplication, of (A) the aggregate number of shares of Company Common Stock outstanding immediately prior to the Effective Time plus (B) the aggregate number of shares of Company Common Stock issuable upon the exercise of all Converted Options issued and outstanding immediately prior to the Effective Time plus (C) theaggregate number of shares of Company Common Stock issuable upon the exercise of all Cashed Out Company Options issued and outstanding immediately prior to the Effective Time plus (D) the aggregate number of shares of Preferred Stock issuable uponexercise of all Company Warrants issued and outstanding immediately prior to the Effective Time. “Fundamental Claims” has the meaning set forth in Section 11.4(b).
Diluted Shares as of the Exercise Date means the number of shares of Common Stock that would be outstanding on the last day of the month immediately preceding the Exercise Date if all outstanding warrants, options and shares of preferred stock exercisable or convertible for Common Stock were exercised as of such date in accordance with their respective terms.
Diluted Shares means, as of the applicable time, shares of Common Stock of the Company issued and outstanding as of such time plus shares of Common Stock issuable upon conversion, redemption, exchange, exercise of, or as a dividend declared as of the time of measurement with respect to, any shares of preferred stock, options, warrants, debentures and other securities or any subscription rights.
