  • Nothing contained in this Agreement will constitute or be construed to be or create a partnership or joint venture between or among Dex Service, East, West or their respective successors or assigns.

  • Compensation, employee benefits, payroll services, Taxes and other employee-related obligations shall be paid and/or provided by Dex Media or any of its Affiliates (including without limitation Dex Service), as determined by, and in the discretion of, Dex Media and the applicable Affiliate.

  • Notwithstanding any other provision of this Agreement, the Management Personnel shall be employed by Dex Media (and any of its direct or indirect Subsidiaries as may employ the Management Personnel from time to time (including without limitation Dex Service)).

  • The Parties acknowledge and agree that, during the period beginning on the commencement of the Term and ending on such later date as may be agreed to by the Parties, Dex Service shall be designated as the common paymaster with respect to the Management Personnel.

  • Except as otherwise may be agreed to by the Parties from time to time, Dex Service or one of its Affiliates may be designated as the "common paymaster" (within the meaning of Sections 3121(s) and 3306(p) of the Code) with respect to the Management Personnel.

  • You shall use your commercially reasonable efforts to implement the mechanisms and application interfaces more particularly described in the Dex Media Feed Requirements for PFP Advertising and such other systems as may be necessary for you to receive and display PFP Ads from the Dex Service as soon as reasonably possible following the Effective Date of this Agreement.

  • Board of FoundationThe Foundation is particularly fortunate to have a voluntary Board of Directors who give of their time and expertise so willingly.

  • As of the Effective Date, Servicer is not providing any Services to Dex One Corp, Dex Service, DMI or RHD Corp.

  • Dex Media may terminate this Agreement upon written notice to you in the event it ceases operation of the Dex Web Site, or upon the occurrence of any significant change in its business or operations relative to the Dex Service and/or its Bid Program.

  • CMU Service means the Central Moneymarkets Unit Service, operated by the Hong Kong Monetary Authority;

  • Support Service means an activity, such as information technology, accounting, human resources, legal, and other support functions that are required to support the ongoing delivery of core services.

  • 911 Service means a universal telephone number which gives the public direct access to the Public Safety Answering Point (“PSAP”). Basic 911 service collects 911 calls from one or more local exchange switches that serve a geographic area. The calls are then sent to the correct authority designated to receive such calls.

This definition does not include any video programming provided by a commercial mobile service provider defined in 47 USC 332(d) or provided solely as part of, and via, a service that enables users to access content, information, electronic mail, or other services offered over the public internet.

  • Hosted Service means the provision of and access to the Vocera Care Transition Software and related services either at your site and/or via secure electronic access over the Internet provided to you by Vocera and/or its designee. Defined terms used in this XXXX, but not defined herein, are defined in the Supplemental Terms and Conditions in Attachment 3.

  • Online Service means our on-line system for managing the electronic transmission of information between us and Providers;
