Developed Materials definition

Developed Materials means Materials created, made, or developed by Contractor or Subcontractors, either solely or jointly with the Judicial Branch Entities or JBE Contractors, in the course of providing the Work under this Agreement, and all Intellectual Property Rights therein and thereto, including, without limitation, (i) all work-in-process, data or information, (ii) all modifications, enhancements and derivative works made to Contractor Materials, and (iii) all Deliverables; provided, however, that Developed Materials do not include Contractor Materials.
Developed Materials means any Materials (including software), or any modifications, enhancements or Derivative Works thereof, which (i) are jointly developed by or on behalf of the Parties or any of their Subsidiaries in connection with or as part of the Services and (ii) are not otherwise Abbott Owned Materials or Hospira Owned Materials.

Examples of Developed Materials in a sentence

  • Contractor shall promptly notify the JBE upon the completion of the development, creation or reduction to practice of any and all Developed Materials.

  • Notwithstanding any provision to the contrary, upon their creation the Developed Materials (and all Intellectual Property Rights therein) will be the sole and exclusive property of the JBE.

  • The University shall have unrestricted authority to reproduce, distribute, and use any submitted report, data or material, and any software or modifications and any Developed Works and Developed Materials as part of the performance of this Contract, which may include written reports and analyses, diagrams, maps, logical and physical designs, system designs, computer programs, flow charts, disks, and/or other machine-readable storage media.

  • Contractor (for itself, Project Staff and Subcontractors) hereby irrevocably assigns, transfers and conveys to the JBE without further consideration all worldwide right, title and interest in and to the Developed Materials, including all Intellectual Property Rights therein.

  • Contractor further agrees to execute, and shall cause Project Staff and Subcontractors to execute, any documents or take any other actions as may be reasonably necessary or convenient to perfect the JBE’s or its designee’s ownership of any Developed Materials and to obtain and enforce Intellectual Property Rights in or relating to Developed Materials.


More Definitions of Developed Materials

Developed Materials means modifications to the Products or custom work or content developed by or on behalf of Lanyon pursuant to a Professional Services engagement hereunder.
Developed Materials means all software and other materials produced by Contractor or its Subcontractors in the performance of the Contract, including software program code, in both object code and source code forms, and all related materials, including designs, data models, database models, object models, program listings, flow charts, Application manuals, technical manuals, training manuals, user manuals and operating procedures. The term “Developed Materials” does not include any pre-existing software, such as Standard Software or modifications thereto produced outside this Contract, but does include all modifications, enhancements and interfaces to either Standard Software or other pre-existing materials that are created in the performance of the Contract.

Developed Materials means all tangible deliverables developed by Contractor or on Contractor's behalf specifically for Owner and provided by Contractor to Owner under this Contract that are paid for by Owner, including network designs, system schematics, system drawings, site specifications, zoning site reports, market databases described in Section 3 of Exhibit (B) (SOW), and other documentation materials relating specifically to the Work, provided by Contractor in the performance of the Work, but specifically excluding any Contractor Tools and Contract Software.
Developed Materials means any Materials, or any modifications, enhancements or derivative works thereof, developed by or on behalf of Amdocs for AT&T in connection with or as part of the Services.
