If it is determined by a court of competent jurisdiction that any provision in the Plan in respect of Detrimental Activities is excessive in duration or scope or otherwise is unenforceable, then such provision may be modified or supplemented by the court to render it enforceable to the maximum extent permitted by law.
In addition, if a court determines that a Participant has engaged or is engaged in Detrimental Activities after the Participant’s employment or service with the Company or its Subsidiaries has ceased, then the Participant, within 30 days after written demand by the Company, shall return the Units or any gain realized on the settlement of the Units or the subsequent sale of Common Stock acquired upon settlement of the Units.
Upon exercise of an Option, the optionee shall certify in a manner acceptable to the Company that he or she is in compliance with the terms and conditions of the Plan and has not engaged in any Detrimental Activities.
If the Grantee’s employment or service with the Company and all of its Affiliates is terminated by the Company or an Affiliate thereof without Cause or by the Grantee for Good Reason, the unvested RSUs shall continue to vest under the schedule set forth in Section 2(a) hereof; provided that the Grantee does not engaged in Detrimental Activities through the applicable Vesting Date.
If the Grantee’s employment or service with the Company and all its Affiliates is terminated by the Company or an Affiliate thereof due to a Disability, the unvested RSUs shall continue to vest under the schedule set forth in Section 2(a) hereof; provided that in the case of a termination due to a Disability, the Grantee does not engaged in Detrimental Activities through the applicable Vesting Date.
