Designated Firm definition

Designated Firm has the meaning set forth in Section 12.9.
Designated Firm means such firm of independent accountants of national standing or such other boutique specialty firm with an active practice area focused on post-mergers and acquisition purchase price dispute resolution to which Buyer and the Sellers Representative mutually agree in writing.
Designated Firm means a Canadian law firm designated by Seller and reasonably acceptable to Buyer; provided that, there shall be no more than two Designated Firms.

Examples of Designated Firm in a sentence

  • If the Designated Firm Volumes of a Marketer in a Pool are greater than both its DSR and its actual Firm deliveries to its Firm Retail Customers, the volumes subject to daily balancing will be Marketer’s Designated Firm Volumes less its actual deliveries to its Firm Retail Customers.

  • For Marketers serving both Firm and Interruptible Retail Customers, the Company will use both the Designated Firm Volumes and the Designated Interruptible Volumes of a Marketer in a Pool to determine the volumes subject to daily balancing.

  • If for any given Day a Marketer nominates a peaking service other than the Company’s Peaking service, such Marketer will be subject to daily balancing with respect to the difference between the sum of its Designated Firm Volumes and its prorata share of MARS in a Pool and actual deliveries to its Firm Retail Customers in the Pool.

  • If the Designated Firm Volumes of a Marketer in a Pool are equal to its DSR in such Pool, then no daily balancing charge will be assessed.

  • In the event a Marketer nominates its DSR on any given Day on an interstate pipeline’s EBB and on the Company’s EBB and such volume is not scheduled by the interstate pipeline and said Marketer’s allocated Firm demand is less than or equal to the Designated Firm Volumes at the Aggregate Pool level, then no charge for deficient volumes of DSR shall be assessed on said volumes for such Day.


More Definitions of Designated Firm

Designated Firm means a designated bank or a designated finance platform;
Designated Firm means Pace Global Energy Services, LLC, unless either Buyer or Seller objects in writing to the selection of Pace Global Energy Services, LLC within 10 Business Days after the Closing, or, if there is an objection to Pace Global Services LLC pursuant hereto, then Black & Xxxxxx; provided that if either Buyer or Seller objects in writing to the selection of Black & Xxxxxx within 10 Business Days after an objection notice has been given in respect of Pace Global Energy Services, LLC, then the Designated Firm shall be a qualified firm reasonably acceptable to Buyer and Seller.
Designated Firm means BDO or such other firm as the parties may mutually agree in writing.
Designated Firm shall have the meaning set forth in SECTION 0 hereof.
Designated Firm shall have the meaning therefor set forth in section 3.2.
Designated Firm means any accounting firm (including any consulting or other group within such firm) designated from time to time by the Licensor.
