Designated Buyer definition

Designated Buyer has the meaning set forth in Section 2.9.

Designated Buyer shall be a 100% wholly-owned Subsidiary of Buyer designated by Buyer to purchase the Shares by Buyer providing prior written notice to Seller at least ten (10) Business Days prior to the Closing Date.

Designated Buyer shall memorialize the results of Designated Buyer's Phase II Audit in a report ("Designated Buyer's Phase II Audit Report") and provide it immediately to Seller. If the Phase II Audit identifies hazardous materials to be removed, transported and disposed of, to the extent such materials are not removed prior to the Closing Date, Seller will acquire a Temporary Generator Identification Number in order to arrange for the removal, transportation and disposal of such hazardous materials.
