Derivative Technology definition

Derivative Technology means: (i) for copyrightable or copyrighted material, any translation (including translation into other computer languages) portation, modification, correction, addition, extension, upgrade, improvement compilation, abridgment, or other form in which an existing work may be recast, transformed or adapted; (ii) for patentable or patented material, any improvement thereon; and (iii) for material which is protected by trade secret, any new material derived from such existing trade secret material, including any new material which may be protected by copyright, patent and/or trade secret.

Derivative Technology means any and all proprietary processes, inventions, discoveries, technology, apparatus, tools, drawings, designs, prototypes, plans, specifications, materials, trade secrets, works of authorship, know-how, standards, documentation, applications, programs, methods, techniques, formulae, protocols, analyses, information and data in any form (whether or not patentable or copyrightable), and any and all other intellectual property or proprietary information discovered, derived or developed from or based upon the Licensor Technology, or as a result of the Company’s use of the Licensor Technology.

Derivative Technology means: (i) for copyrightable or copyrighted material, any translation (including translation into other computer languages), portation, modification, correction, addition, extension, upgrade, improvement, compilation, abridgment or other form in which an existing work may be recast, transformed or adapted; (ii) for patentable or patented material, any improvement thereon; and (iii) for material which is protected by trade secret, any new material derived from such existing trade secret material, including new material which may be protected by copyright, patent and/or trade secret.

• Licensor hereby assigns, and upon creation of said Derivative Technology does assign, to the Company all of Licensor’s right, title and interest in and to such Derivative Technology in the Fields of Use, whether made or developed solely by Licensor or jointly with the Company or others.

More Definitions of Derivative Technology

Derivative Technology means: Incremental advance or new of application of an existing technology.

Derivative Technology means any Derivative of the Licensed Technology.

Derivative Technology means a work of authorship (including software) that is based upon all or any portion of the Licensed Technology, such as a translation, modification, correction, addition, extension, upgrade, improvement, adaptation, abridgement, recasting, transformation, or elaboration.

Derivative Technology means any Proprietary Information or Invention that is developed and brought to the point of practical application solely by either Party during or after the SBP Activity and is derived, in substantial part, (i) from any Background Proprietary Information of the other Party or any Proprietary Information solely developed by the other Party during the SBP Activity, or from any Joint SBP Activity Proprietary Information, and/or (ii) from any Background Invention(s) of the other Party or any Invention(s) solely conceived by the other Party during the SBP Activity, or from any Joint SBP Activity Invention(s).

Derivative Technology means any and all technology created or developed by Inktomi pursuant to this Agreement based upon Inktomi Technology and/or Microsoft Technology, which development is funded in whole or in substantial part by Microsoft, including without limitation the following: (i) for copyrightable or copyrighted material, any translation (including translation into other computer languages), portation, modification, correction, addition, extension, upgrade, improvement, compilation, abridgment or other form in which an existing work may be recast, transformed or adapted; (ii) for patentable or patented material, any improvement thereon; and (iii) for material which is protected by trade secret, any new material derived from such existing trade secret material, including new material which may be protected by copyright, patent and/or trade secret. Derivative Technology shall be categorized as one of the following three distinct types:

Derivative Technology means the technology based upon the Licensed Products developed or created by WINK during the course of its performance of the product development, maintenance and support services for TAK, including: (i) for copyrightable or copyrighted material, any translation (including translation into other computer languages), porting, modification, 2 correction, addition, extension, upgrade, improvement, compilation, abridgement or other form in which an existing work may be recast, transformed or adapted; (ii) for patentable or patented material, any improvement thereon; and (iii) for material which is protected by trade secret, any new material derived from such existing trade secret material, including new material which may be protected by copyright, patent and/or trade secret.
