Deposit Material means the material deposited in escrow in accordance with the XBID-MSA; Disclosing Party(ies) means the Party(ies) disclosing the Confidential Information, or all the Parties in the event it is not possible to determine which specific Party(ies) has (have) disclosed the concerned Confidential Information; Dispute has the meaning set forth in Article 25.1;

Deposit Material will have the meaning agreed to by the Parties and included in the escrow agreement executed pursuant to Section 11.4(f). The Parties acknowledge that Deposit Material as that term is to be agreed-upon in the Escrow Agreement must include documentation, source code owned or Controlled by Anoto or its Group Companies, ASIC design files and other materials as are reasonably necessary for LFIRC to develop, enhance and support the Licensed Anoto Technology upon release from the escrow.

Examples of Deposit Material in a sentence

  • Destroyed or returned Deposit Material is not part of the Deposit; however, DSI shall keep records of the destruction or return of Deposit Material.

More Definitions of Deposit Material

Deposit Material means any Material and any other proprietary technology and materials deposited by the Depositor during the term of this Agreement as described from time to time in Exhibit B;
Deposit Material means (a) all relevant pass codes, all source code, the manual commonly known as the “Server Configuration Manual” (and any replacement manual or documentation) including system architecture flow charts and data structures, the manual commonly known as the “Documentation Manual” (and any replacement manual or documentation), and third-party software list required to reproduce the operating environment and create an operational instance of Borrower’s business offerings (collectively, the “Technical Material”), and (b) customer information (e.g., sales data, product customizations, statistics, etc.) relating to active customers and all content libraries (e.g., instructional based materials, educational questions, answers and related content, etc.) used or held for use in Borrower’s business (collectively, the “Customer and Content Material”).

  • Client Materials means the CLIENT Development Materials and the CLIENT Production Materials.
