Delivery of Shares definition

Delivery of Shares. The Company shall issue and deliver the certificates for the Bridge Shares and the Document Preparation Shares within two business days following the listing of such shares on the AMEX or the delisting of the Company's shares from the AMEX. The issuance and delivery of the certificates for the Bridge Shares in excess of the initial 1,700,000 Bridge Shares may require shareholder approval before such shares can be listed on the AMEX. As stated above in "Shareholder Approval," the Company has agreed to use its reasonable best efforts to obtain such shareholder approval not later than December 1, 2007.

Examples of Delivery of Shares in a sentence

  • Delivery of Shares or cash, as the case may be, will occur upon expiration of the deferral period specified for Restricted Share Units by the Committee (or, if permitted by the Committee, as elected by the Eligible Person).

  • Delivery of Shares may be effected on an uncertificated basis, to the extent not prohibited by applicable law or the rules of the New York Stock Exchange.

  • Delivery of Shares or other securities in payment of a purchase right, if authorized by the Committee, may be accomplished through the effective transfer to the Company of Shares or other securities held by a broker or other agent.

Related to Delivery of Shares

  • Unit Shares means the Common Shares comprising part of the Units;

  • Shares means the shares of Common Stock issued or issuable to each Purchaser pursuant to this Agreement.

  • Option Warrants shall have the meaning ascribed to such term in Section 2.2(a).

  • RSU Shares means shares of Common Stock that underlie an RSU.

  • Authorized shares means the shares of all classes a domestic or foreign corporation is authorized to issue.

  • Trust Shares has the meaning ascribed thereto in Section 2.2.

  • Option Units means the Common Units that the Partnership will agree to issue upon an exercise of the Over-Allotment Option.

  • Dividend Shares means the shares of Common Stock issuable in payment of dividends payable on the Preferred Shares in accordance with the terms of the Certificate of Designation.

  • Option Shares shall have the meaning ascribed to such term in Section 2.2(a).

  • Ordinary Shares means the ordinary shares, par value $0.0001 per share, of the Company.

  • Firm Shares has the meaning given to it in the first paragraph of this Agreement;

  • class of Shares refers to the division of Shares into two or more classes as provided in Article III, Section 1 hereof;

  • Option Stock shall have the meaning set forth in Section 2(a) hereof.

  • Settlement Shares With respect to any Settlement Date, a number of Shares, not to exceed the Base Amount, designated as such by Party B in the related Settlement Notice or by Party A pursuant to “Termination Settlement” below; provided that on the Maturity Date the number of Settlement Shares shall be equal to the Base Amount on such date.

  • Stock means the Common Stock of the Company.

  • Plan Shares means the total number of Common Shares which may be reserved for issuance as Optioned Shares under the Plan as provided in §2.2;

  • Common Shares means the common shares in the capital of the Corporation;

  • Share Certificates The term Share Certificates shall mean the stock certificates for the Shares of the Fund.

  • Restricted Shares shall have the respective meanings set forth in Section 2.14.

  • Common Stock Dividend means a stock dividend declared and paid on the Common Stock that is payable in shares of Common Stock.

  • Deferred Shares means an award made pursuant to Section 7 of this Plan of the right to receive Common Shares at the end of a specified Deferral Period.

  • Subscription Shares has the meaning ascribed to it in Section 2.1.

  • Ordinary Share Equivalents means any securities of the Company or the Subsidiaries which would entitle the holder thereof to acquire at any time Ordinary Shares or ADSs, including, without limitation, any debt, preferred stock, right, option, warrant or other instrument that is at any time convertible into or exercisable or exchangeable for, or otherwise entitles the holder thereof to receive, Ordinary Shares or ADSs.

  • DWAC Shares means shares of Common Stock that are (i) issued in electronic form, (ii) freely tradable and transferable and without restriction on resale and (iii) timely credited by the Company to the Investor’s or its designee’s specified Deposit/Withdrawal at Custodian (DWAC) account with DTC under its Fast Automated Securities Transfer (FAST) Program, or any similar program hereafter adopted by DTC performing substantially the same function.

  • Common Stock means the common stock of the Company.
