Deliverable Credits. Has the meaning given in Section 7.2(b) of the Agreement. Derivative Work Means a work based on one or more preexisting works, including a condensation, transformation, translation, modification, expansion, or adaptation, that, if prepared without authorization of the owner of the copyright of such preexisting work, would constitute a copyright infringement under applicable Laws, but excluding the preexisting work. Developed Material Means any Materials or any modifications, enhancements, improvements, Upgrades or Derivative Works of Materials that are developed pursuant to the Agreement or otherwise paid for by DIR or any DIR Customer under the Agreement. Development or Development Environment Means the Systems environment in which Software and databases are initially designed and created. DIR Customers may have more than one Development Environment. Development Tool Means all software programs and programming (and all modifications, replacements, Upgrades, enhancements, documentation, materials, and media related thereto) that are used in the development, testing, deployment, and maintenance of Software. Development Tools shall include all such programs and programming in use or required to be used as of the Commencement Date, including those set forth in Exhibit 11 to the Agreement, those as to which the license, maintenance or support costs are included in the Financial Base Case and those as to which Service Provider received reasonable notice and/or access prior to the Commencement Date. Development Tools also shall include all such programs and programming developed and/or introduced by or for DIR, any DIR Customer or Service Provider during the Term. DIR Has the meaning given in the preamble to the Agreement.
Deliverable Credits shall have the meaning given in Section 7.2.2.
Deliverable Credits. The term “Deliverable Credits” means an amount calculated and payable in accordance with Section 10.9 (Deliverable Credits) for failure to deliver any Deliverables.
Examples of Deliverable Credits in a sentence
Critical Deliverables Means the One-Time Deliverables and Recurring Deliverables that have associated Deliverable Credits payable to DIR in the event Service Provider fails to successfully and timely complete such Deliverables as identified in Attachment 3-C.
Accordingly, if Service Provider fails to attain the levels of satisfaction prescribed in Exhibit 3 or fails to take the actions set forth in the action plan by the agreed upon dates, then, in addition to any other remedies available to DIR under this Agreement at Law or in equity, Service Provider shall pay to DIR the applicable Deliverable Credits specified in the applicable action plan for such failure.
Attachment 3-A sets forth the Deliverable Credits that shall be payable by the Service Provider to DIR in the event the Service Provider fails to deliver any of the One Time Deliverables within the required time period specified in Attachment 3-A.
In addition to any other rights or remedies District may have, this Agreement may specify Deliverable Credits or Service Level Credits for Contractor’s failure to remedy a Priority 1 condition in a timely manner.
The total amount of Deliverable Credits that the Service Provider will be obligated to pay to DIR shall be reflected on the invoice that contains charges for the month following which the Deliverable Credits accrued (for example, the amount of Deliverable Credits payable for failure to deliver any One Time Deliverable(s) in August shall be set forth in the invoice for September charges issued in October).
More Definitions of Deliverable Credits
Deliverable Credits means the monetary amount(s) that Supplier shall pay to ABM (or apply against monthly Charges) if Supplier fails to meet its obligations with respect to a Critical Deliverable, as further described in Section 7.2(b) and Schedule G.

Deliverable Credits. Means the amount Supplier shall pay or credit to DGS, as specified in Exhibit __ (Critical Deliverables) and Exhibit __ (Service Level Matrix), or as established by DGS as part of the Project approval process on a case by case basis, in recognition of the diminished value of the Services resulting from Supplier’s failure to meet the agreed upon level of performance, and not as a penalty.

Development Tool Means all software programs and programming (and all modifications, replacements, Upgrades, enhancements, documentation, materials, and media related thereto) that are used in the development, testing, deployment, and maintenance of Software. Development Tools shall include all such programs and programming in use or required to be used as of the Commencement Date, those as to which the license, maintenance or support costs are included in the Financial Base Case and those as to which Service Provider received reasonable notice and/or access prior to the Commencement Date. Development Tools also shall include all such programs and programming developed and/or introduced by or for DIR, any DIR Customer or Service Provider during the Term. Deliverable Credits means credits for Provider’s failure to provide, by the time or in the manner agreed, the Deliverables specified under the Agreement or any other Deliverables for which the Parties agree to Deliverable Credits.
