All offers of employment shall be made as early as possible in the process and ideally at least forty-five (45) days before the anticipated date of Completion (or in the case of a Delayed NSC, at least forty-five (45) days before the Delayed Transfer Date), but in any event must be made no later than fifteen (15) days before the anticipated date of Completion (or in the case of a Delayed NSC, no later than fifteen (15) days before the Delayed Transfer Date).
Any Inactive Business Employee shall be treated as a Transferred Employee upon his or her Delayed Transfer Date.

More Definitions of Delayed Transfer Date

Delayed Transfer Date means the date on which it is determined by Xxxxxxx that either (i) a Delayed Transfer Veralto Employee or Delayed Transfer Xxxxxxx Employee is permitted to transfer from the Xxxxxxx Group to the Veralto Group or from the Veralto Group to the Xxxxxxx Group, respectively, in accordance with applicable Law, or (ii) the necessary business operations are set up in the relevant jurisdiction to enable employment of the Veralto Employee or Xxxxxxx Employee by the Veralto Group or Xxxxxxx Group, as applicable.

Delayed Transfer Date means the day immediately following the last day of the Transition Services Period.

References to “Closing”, “Closing Date”, “Effective Time”, “Separation Time” and “Separation Date” in this Agreement shall be interpreted to mean the “Delayed Transfer Date” as it applies to any Delayed Transfer Newco Employee, where the context requires.

Delayed Transfer Date means, with respect to any applicable Delayed LB Transfer Employee or Delayed VS Transfer Employee, the applicable date he or she commences employment with a member of the L Brands Group or the VS Group, respectively, following the Distribution Date.
