Definitive Registered Notes definition

Definitive Registered Notes means the Original Definitive Registered Notes and/or as the context may require any other definitive registered notes representing Further Notes or any of them;

Definitive Registered Notes means, with respect to any Tranche of Notes, Notes of such Tranche in definitive registered form issued pursuant to the applicable Indenture.

Definitive Registered Notes means the Definitive Registered Senior Notes and the Definitive Registered Junior Notes.

Examples of Definitive Registered Notes in a sentence

• Holders of Definitive Registered Notes may exchange such Notes for interests in a Registered Global Note of the same type at any time.

• Definitive Registered Notes and Global Notes do not have Receipts, Coupons or Talons attached on issue.

• Upon the occurrence of any of the events described in the preceding sentence, the Issuer will cause the appropriate Definitive Registered Notes to be delivered, provided that, notwithstanding the above, no Definitive Registered Notes will be issued until expiry of the applicable Restricted Period.

• Holders of Definitive Registered Notes may exchange such Definitive Registered Notes for interests in a Registered Global Note of the same type at any time.

• Any reference to "Noteholders" or "holders" in relation to any Notes shall mean (in the case of Definitive Bearer Notes) the holders of the Notes and (in the case of Definitive Registered Notes) the persons in whose name the Notes are registered and shall, in relation to any Notes represented by a Global Note, be construed as provided below.

More Definitions of Definitive Registered Notes

Definitive Registered Notes means definitive registered Notes in certificated form.

Definitive Registered Notes means Notes issued in definitive registered form pursuant to Section 2.01 of the Indenture, substantially in the form set forth in the Indenture.

Definitive Registered Notes means the _____% Senior Notes due 2001 --------------------------- and the _____% Senior Notes due 2006 issued pursuant to the Indenture and the Supplemental Indenture in substantially the form of Exhibits B and D, respectively, to the Supplemental Indenture.

Definitive Registered Notes means Registered Notes in definitive form issued or, as the case may require, to be issued by the Republic in accordance with the provisions of the Program Agreement, or any other agreement between the Republic and the relevant Dealer(s), and this Agreement, either on issue or in exchange for a Registered Global Note or part thereof (all as indicated in the applicable Final Terms), such Registered Notes in definitive form being in the form or substantially in the form set out in Part IX of Schedule B with such modifications (if any) as may be agreed between the Republic and the relevant Dealer(s) and having the Conditions either attached thereto or endorsed thereon or, if permitted by the relevant Stock Exchange, incorporating the Conditions by reference (where applicable to this Agreement) as indicated in the applicable Final Terms and having the applicable Final Terms (or the relevant provisions thereof) either endorsed thereon or attached thereto and having a Form of Transfer endorsed thereon;

Definitive Registered Notes means the Notes in definitive registered form.

Definitive Registered Notes means Unrestricted Definitive Registered Notes or, as the case may be, Restricted Definitive Registered Notes issued or, as the case may require, to be issued by the Issuer in accordance with the provisions of the Programme Agreement or any other agreement between the Issuer and the relevant Dealer(s) and this Agreement in exchange for a Registered Global Note (all as indicated in the applicable Final Terms), such Registered Notes in definitive form being in the form or substantially in the form set out in Part VIII of Schedule 3 with such modifications (if any) as may be agreed between the Issuer, the Fiscal Agent and the relevant Dealer(s) and having the Conditions either attached thereto or endorsed thereon or, if permitted by the relevant Stock Exchange or competent listing authority, incorporating the Conditions by reference (where applicable) as indicated in the applicable Final Terms and having the applicable Final Terms (or the relevant provisions thereof) either endorsed thereon or attached thereto and having a Form of Transfer endorsed thereon;

Definitive Registered Notes has the meaning given to such term in Section 2.01(b) hereof.
