DEFINITION OF KNOWLEDGE. The words "known", "to the knowledge of," "to the best knowledge of," "aware" or words of similar import employed in this Agreement with reference to any individual or entity shall be conclusively presumed to mean that the person or entity has made reasonable and diligent efforts under the circumstances to become knowledgeable; in the case of any person other than a natural person, the "knowledge" of such person shall be deemed to be the knowledge of its directors and senior officers.
