The Guarantor’s obligations hereunder will remain in full force and effect until the principal of, premium, if any, on and interest and Deferred Interest, if any, on the Securities and all other amounts payable by the Issuer under the Subordinated Indenture have been paid in full.
Upon any such declaration of acceleration such principal or such lesser amount, as the case may be, including premium, if any, thereon, together with any accrued interest, Deferred Interest (but only to the extent specifically provided for) and all other amounts owing thereunder and hereunder (with respect to such series of Securities), shall become immediately due and payable, without presentment, demand, protest or notice of any kind, all of which are hereby expressly waived.
