Defense Business has the meaning set forth in the Distribution Agreement.

Defense Business means the businesses conducted through the Electronic Systems, Geospatial Systems, Information Systems and Mission Systems segments of ITT prior to the Effective Time (as defined in the Distribution Agreement), including, for the avoidance of doubt, the businesses of (i) the Defense Entities and the Defense Divisions and (ii) any other division, Subsidiary, line of business or investment of ITT or any of its Subsidiaries managed or operated prior to the Effective Time by any Defense Entity, unless such other division, Subsidiary, line of business or investment is an ITT Retained Entity, an ITT Retained Division, a Water Entity or a Water Division.
Defense Business means (a) Seller's Missile Systems Division, Electronics Systems Division, Advanced Programs Division, and Advanced Technology and Components Division, together with the Finance, Engineering, Business Development, Supply Process, Human Resources, Quality Assurance, Product Production Process and SG Strategy support activities associated with said divisions, (b) Seller's Commercial Uncooled IR Business, (c) Seller's Smart Antenna Business, (d) the business of the Acquired Subsidiary, (e) the following laboratories of Seller's Corporate and Research Development Laboratories ("CRDL"): the Systems Components Laboratory, the Sensors and Infrared Laboratory and the portion of the Materials Science Laboratory that is engaged in work on gallium arsenide, together with the CRDL management and administration, marketing and contract, and quality, capital and computer activities that support said two laboratories, and (f) certain activities currently performed by corporate staff in support thereof (the cost of which activities has been fully reflected in the Acquired Business Financial Statements and the Acquired Business Interim Financial Statements).

Defense Business means the direct or indirect conceptualization, design, development, production, manufacture, integration, sourcing, advertising, marketing, sale and/or distribution (including through distributors, dealers or any other channel) of: (i) purpose-built military vehicles (including Mine Resistant Ambush Protected vehicles and Special Operations Tactical Vehicles) anywhere in the world to any customer; (ii) MilCOTS Trucks and Buses anywhere in the world to any customer; (iii) COTS Trucks and Buses anywhere in the world solely to Defense Customers; and/or (iv) parts and services (including commercial production parts, commercial aftermarket parts, military vehicle production parts, military vehicle aftermarket parts, engineering and field services, technical support, training, design changes (engineering change proposals) or any other support) with respect to the foregoing in this clause (iv) anywhere in the world solely (other than with respect to Defense Parts) to a Defense Customer (collectively, “Defense Products”), in each case, together with any ancillary actions and businesses (in the case of ancillary actions to clause (iii) and (iv), to the extent such ancillary actions and businesses are directed to Defense Customers). “Defense Business” shall include the business of the Company and its Subsidiaries as conducted as of the date of the Recapitalization Agreement or as of Closing, or as conducted in the twelve (12) months prior to the date of the Recapitalization Agreement. For purposes hereof, the term “vehicle” shall include autonomous vehicles, vehicle subsystems, vehicle robotic systems and add on components.
