Deemed notice. Any notice given pursuant to this agreement will be deemed to be validly given:
Deemed notice. Any notices given to any party in accordance with this Agreement will be deemed to have been duly given: [i] on the date of receipt if personally delivered, [ii] five days after being sent by U.S. mail, postage prepaid, [iii] the date of receipt, if sent by registered or certified U.S. mail, postage prepaid, [iv] one business day after receipt, if sent by confirmed facsimile or telecopier transmission, or [v] one business day after having been sent by a nationally recognized overnight courier service.
Deemed notice has the meaning as ascribed to it in Section 1.1.(e).

  • The Repurchase Price will be paid without interest within ninety (90) days after the Company gives the Purchaser written notice of the exercise of its Repurchase Option or the effectiveness of the Deemed Notice.

  • Timely Notice means a stockholder’s notice to the Secretary of the Corporation which must be delivered to or mailed and received at the principal executive offices of the Corporation not less than ninety (90) days nor more than one hundred twenty (120) days prior to the first anniversary of the preceding year’s annual meeting of stockholders; provided, however, that in the event that the date of the annual meeting is more than thirty (30) days before, or more than sixty (60) days after, such anniversary date, notice by the stockholder to be timely must be so delivered not earlier than the one hundred twentieth (120th) day prior to such annual meeting and not later than the ninetieth (90th) day prior to such annual meeting or, if later, the tenth (10th) day following the day on which the date that such annual meeting was Publicly Disclosed (as defined above).

  • Determination Notice is defined in Section 6.1(b)(i) of the Agreement.

  • Contribution Notice means a contribution notice issued by the Pensions Regulator under section 38 or section 47 of the Pensions Xxx 0000.

  • Offering Notice has the meaning set forth in Section 3.1(a).

  • Valuation Notice means the notice given by the Partnership pursuant to Section 8.5(b) or Section 8.6(a) and stating the Initial Value at which a Purchase Right is to be exercised or at which a Repurchase Obligation is to be effected.

  • Designation Notice means a notice from any Lender or an Affiliate of a Lender substantially in the form of Exhibit I.

  • Acquisition Notice has the meaning ascribed to such term in Section 2.1(a).

  • First Offer Notice shall have the meaning set forth in Section 14.4(a).

  • Put Option Notice means a notice which must be delivered to a Paying Agent by any Noteholder wanting to exercise a right to redeem a Note at the option of the Noteholder;

  • Redemption Notice means a notice in a form approved by the Company by which a holder of Public Shares is entitled to require the Company to redeem its Public Shares, subject to any conditions contained therein.

  • Tax Notice has the meaning set forth in Section 2.06(a).

  • Termination Notice means the communication issued in accordance with this Agreement by one Party to the other Party terminating this Agreement;
