Deemed Delivered Energy definition

Deemed Delivered Energy means [For As-Available Products use the following language] the amount of Energy expressed in MWh that the Project would have produced and delivered to the Delivery Point, but that is not produced by the Project and delivered to the Delivery Point during a Buyer Curtailment Period, which amount shall be equal to (a) the EIRP Forecast, expressed in MWh, applicable to the Buyer Curtailment Period, whether or not Seller is participating in EIRP during the Buyer Curtailment Period, less the amount of Delivered Energy delivered to the Delivery Point during the Buyer Curtailment Period or, (b) if there is no EIRP Forecast available, the result of the equation provided pursuant to Section 3.1(l)(i)(G) and using relevant Project availability, weather and other pertinent data for the period of time during the Buyer Curtailment Period less the amount of Delivered Energy delivered to the Delivery Point during the Buyer Curtailment Period; provided that, if the applicable difference calculated pursuant to (a) or (b) above is negative as compared to the amount of metered Energy at the CAISO revenue meter for the Project, the Deemed Delivered Energy shall be zero (0).   • If multiple Project Offtakers issue overlapping Buyer Curtailment Orders, then any Deemed Delivered Energy during such period shall be allocated to Buyer on a pro rata basis in accordance with its Buyer’s Share.

More Definitions of Deemed Delivered Energy

Deemed Delivered Energy means the amount of Energy expressed in MWh that the Facility would have produced and delivered to the Delivery Point, but that is not produced by the Facility due to a Buyer-directed curtailment, which amount shall be calculated using an industry-standard methodology agreed to by Buyer and Seller that utilizes meteorological conditions on Site as input for the period of time during such Buyer-directed curtailments.
Deemed Delivered Energy means the amount of Buyer’s Share of the Energy expressed in MWh that the Facility would have produced and delivered to the Delivery Point, but that is not produced by the Facility and delivered to the Delivery Point during a Buyer Curtailment Period, which amount shall be equal to (a) the VER Forecast expressed in MWh, applicable to the Buyer Curtailment Period, or (b) if there is no VER Forecast available or Seller demonstrates to Buyer’s reasonable satisfaction that the VER Forecast does not represent an accurate forecast of generation from the Facility, the result of the equation reasonably calculated and provided by Seller to reflect the potential generation of the Facility as a function of Available Capacity, and wind speed, and using relevant Facility availability, weather, historical and other pertinent data for the period of time during the Buyer Curtailment Period, in either case less the amount of Metered Energy delivered to the Delivery Point during the Buyer Curtailment Period; provided that, if the applicable difference is negative, the Deemed Delivered Energy shall be zero (0).
Deemed Delivered Energy means the amount of energy that Seller could reasonably have delivered to Buyer, but was instructed not to deliver to Buyer by reason of Economic Dispatch Down. The quantity of Deemed Delivered Energy shall be equal to: (a) the result of (i) the lesser of (y) the Deemed Delivery Forecast in the applicable Economic Dispatch Down period and (z) the Project’s Maximum Potential Energy in the applicable Economic Dispatch Down period; less(ii) the greater of (y) the total Expected Energy in the applicable Economic Dispatch Down period and (z) the actual energy delivered during such period; and less (iii) any amount of energy that was not delivered due to any concurrent Planned Outage, Forced Outage, Force Majeure, Power Product Curtailment, and/or CAISO action or inaction (but only to the extent the Deemed Delivery Forecast does not already reflect any of the foregoing); provided that, if the applicable amount calculated pursuant to this clause (a) is negative, the Deemed Delivered Energy shall be zero (0); or (b) if there is no such Deemed Delivery Forecast available during the applicable Economic Dispatch Down period, the amount of energy that Seller could reasonably have delivered to Buyer, but was instructed not to deliver to Buyer as a result of Economic Dispatch Down, as determined by Buyer based on Seller’s Final Energy Forecast and the amount of energy delivered, which amount shall not include any amount of energy that was not delivered due to any concurrent Planned Outage, Forced Outage, Force Majeure, Power Product Curtailment, and/or CAISO action or inaction. In each case, the calculation of Deemed Delivered Energy shall be calculated according to the formula set forth in Exhibit U.
