For avoidance of doubt, where no consideration is received in connection with conducting bona fide clinical trials, or otherwise from an arm’s length transaction by QLT, its Affiliates and/or Licensees/Sublicensees for Collaboration Product used for research and development, regulatory or quality purposes, professional samples or for compassionate use, there shall be no royalties payable.   • value added tax means value added tax charged in accordance with the Value Added Tax Act 1994.
