Debenture Certificates definition

Debenture Certificates means the definitive certificates representing the Debentures;
Debenture Certificates has the meaning given to it in Section 3.10.
Debenture Certificates means the certificates issued to the holders of Debentures representing and governing the terms and conditions of the Debentures.

  • Over and above such terms and conditions, the Debentures shall also be subject to other terms and conditions as may be incorporated in the Trustee Agreement/ Letters of Allotment/ Debenture Certificates, guidelines, notifications and regulations relating to the issue of capital and listing of securities issued from time to time by the Government of India and/or other authorities and other documents that may be executed in respect of the Debentures.

  • Extensive dissemination of project results, resources and materials is expected so that other State agencies will have the opportunity to replicate the project and/or learn from its results.

  • In case of any delay in surrendering the Debenture Certificate(s) for redemption, the Company will not be liable to pay any interest, income or compensation of any kind for the late redemption due to such delay.


More Definitions of Debenture Certificates

Debenture Certificates means, collectively, the Initial Debenture Certificates, Tranche 2 Debenture Certificates, Tranche 3 Debenture Certificates and Tranche 4 Debenture Certificates;
Debenture Certificates means the certificates representing the Debentures which certificates shall be governed by the terms and conditions set forth in the Trust Indenture and shall be in form and substance satisfactory to the Corporation and the Agents, acting reasonably.
Debenture Certificates means the debenture certificates to be issued on the Closing Date by the Company to the Investor in the form attached hereto as Exhibit B hereto. “Debentures” means unsecured convertible debentures to be created and issued pursuant to the Debenture Certificates.
Debenture Certificates means the certificate(s) issued in accordance with Condition 3.1, representing such Debenture(s) in the form specified in Annex A of these Conditions. “Debentureholder(s)” means the person(s) who own Debentures in accordance with Condition 3.3.“Debentureholders’ Representative”means Bank of Ayudhya Public Company Limited or any other person subsequently appointed as the Debentureholders’ Representative in accordance with these Conditions and the Debentureholders’ Representative Appointment Agreement.“Debentureholders’ Representative Appointment Agreement”means the Debentureholders’ Representative Appointment Agreement dated 12 December 2014 between the Issuer and the Debentureholders’ Representative, or the agreement appointing a successor Debentureholders’ Representative to replace the existing Debentureholders’ Representative (if any).“Debentures”means the Debentures Series 1, the Debentures Series 2 and the Debentures Series 3 pursuant to the details of each series of the Debentures specified in Condition 2, provided that in case the Issuer has fully redeemed any series of the Debentures, the Debentures shall mean series of the Debentures that remain outstanding.“Debentures Series 1”means the Debentures of EDL-Generation Public Company No. 1/2557 Series 1 Due B.E. 2562 (2019).“Debentures Series 2”means the Debentures of EDL-Generation Public Company No. 1/2557 Series 2 Due B.E. 2564 (2021).“Debentures Series 3”means the Debentures of EDL-Generation Public Company No. 1/2557 Series 3 Due B.E. 2567 (2024).“Default Interest Rate”means the default rate of interest for the Debentures, being the Interest Rate plus 2 (two) percent per annum.“Event of Default”means any of the events specified in Condition 13.“Interest Payment Date”means every 12 June and 12 December of each year commencing on 12 June 2015 and ending on the Maturity Date.
Debenture Certificates means the definitive certificates representing the Debentures; “Purchasers” means those persons who subscribe for Debentures under the Offering, including the Subscriber; “Regulation S” means Regulation S under the U.S. Securities Act; “TSX” means the Toronto Stock Exchange; “Underlying Securities” means the Common Shares and Warrants comprising the Units issuable upon the exercise of the conversion rights under the Debentures; “United States” means the United States as that term is defined in Regulation S; “U.S. Person” means a U.S. Person as that term is defined in Regulation S; “U.S. Securities Act” means the Securities Act of 1933, as amended, of the United States of America; and “Warrants Shares” means the Common Shares issuable upon exercise of the Warrants. 3.
Debenture Certificates means the form of debenture that will be issued to Beneficial Owners, as described under “Description of Debentures – Book-Entry System”.
Debenture Certificates means the certificates evidencing the Class A Debentures and the Class B Debenture in the forms of EXHIBIT B-1 and EXHIBIT B-2 attached hereto, respectively.
