Debenture Agent initially means the transfer agency selected by Puget to act as the transfer agent for the Debentures, or its successors from time to time;
Debenture Agent means Computershare Trust Company of Canada or its successor or successors for the time being as trustee hereunder;
Debenture Agent means Odyssey Trust Company;

  • Nothing in this Indenture or in the Debentures, expressed or implied, will give or be construed to give to any person other than Puget, the Debenture Agent and the Registered Debenture holders, as the case may be, any legal or equitable right, remedy or claim under this Indenture, or under any covenant or provision herein or therein contained, all such covenants and provisions being for the sole benefit of Puget, the Debenture Agent and the Registered Debenture holders.

  • Conversion Notices and Confirmations must be delivered to the Debenture Agent at any time during the Debenture Agent’s actual business hours on any Business Day prior to the Expiry Time.

  • In amplification of the foregoing, other than the Debenture Agent and the Debenture holders, no person shall be deemed a third party beneficiary of this Indenture.

  • Puget covenants that in the event any class of its securities is registered pursuant to §12 of the Exchange Act or any such registration or reporting obligation is suspended or terminated by Puget in accordance with the Exchange Act, Puget will promptly deliver to the Debenture Agent an officers’ certificate notifying the Debenture Agent of such registration or termination and such other information as the Debenture Agent may require at the applicable time.

  • Unless extended by Puget in its sole discretion, any conversion referred to in this §7.2 requires that the original Conversion Notice executed by the Registered Debenture holder or the Confirmation from the Depository be received by the Debenture Agent prior to the Expiry Time.

  • Because of the inherent conflict of interests involved, the Debenture Agent and all Debenture holders are advised to retain independent legal counsel to review this Indenture and its schedules and incorporated materials on their behalf.

Debenture Agent means Xxxxxxx X. Xxxxxxx, in his capacity as agent for any holder of the Subordinated Debentures, and his successors and assigns and including any other or additional person that may at any time act for or on behalf of any of the Junior Creditors.

  • Debenture Trustee means Wilmington Trust Company, as trustee under the Indenture until a successor is appointed thereunder, and thereafter means such successor trustee.

  • Principal Agent means the person or entity appointed by the employer and named in the schedule. In the event of a principal agent not being appointed, then all the duties and obligations of a principal agent as detailed in the agreement shall be fulfilled by a representative of the employer as named in the scheduleClause 1.1 Definition of "Security" is amended by replacing it with the following:

  • Debenture Issuer means the Parent in its capacity as the issuer of the Debentures under the Indenture.

  • Note Agent means any Registrar, Paying Agent or Conversion Agent.

  • Debenture Holders representative” means a person designated as such in an agency deed;

  • Security Agent means the Bond Trustee or any successor Security Agent, acting for and on behalf of the Secured Parties in accordance with any Security Agent Agreement or any other Finance Document.

  • Purchase Contract Agent means the Person named as the “Purchase Contract Agent” in the first paragraph of this Agreement, acting in its capacity as such hereunder, until a successor Purchase Contract Agent shall have become such pursuant to the applicable provisions of this Agreement, and thereafter “Purchase Contract Agent” shall mean such Person or any subsequent successor who is appointed pursuant to this Agreement.

  • Debentureholder holder of Debentures," "registered holder," or other similar term, means the Person or Persons in whose name or names a particular Debenture shall be registered on the books of the Company or the Trustee kept for that purpose in accordance with the terms of this Indenture.

  • Senior Creditor means a holder or holders of Senior Indebtedness and includes any representative or representatives, agent or agents or trustee or trustees of any such holder or holders;

  • Canadian Trustee means the Person named as the “Canadian Trustee” in the first paragraph of this Indenture until a successor Canadian Trustee shall have become such pursuant to the applicable provisions of this Indenture, and thereafter “Canadian Trustee” shall mean or include each Person who is then a Canadian Trustee hereunder; provided, however, that if at any time there is more than one such Person, “Canadian Trustee” as used with respect to the Securities of any series shall mean only the Canadian Trustee with respect to Securities of that series.

  • Debenture means debenture stock, mortgages, bonds and any other such securities of the Company whether constituting a charge on the assets of the Company or not.

  • Debentureholders or “holders” means the Persons for the time being entered in the register for Debentures as registered holders of Debentures or any transferees of such Persons by endorsement or delivery;

  • Collateral Trustee has the meaning set forth in the preamble.

  • Secured Creditors shall have the meaning assigned that term in the respective Security Documents.

  • Conversion Agent shall have the meaning specified in Section 4.02.

  • Voting Agent means Logan & Company, Inc.

  • Collateral Agent as defined in the preamble hereto.

  • Debentures has the meaning stated in the first recital of this Indenture.

  • Paying Agent Agreement shall have the meaning set forth in Section 3.2(a).

  • Fiscal Agent Agreement As defined in Section 8.13.

  • Securities Registrar have the respective meanings specified in Section 3.5.

  • Prepetition Agent means Goldman Sachs Bank USA in its capacity as administrative agent and collateral agent under the Prepetition Credit Agreement.

  • Supplemental Agent has the meaning set forth in Section 9.14(a) and “Supplemental Agents” shall have the corresponding meaning.

  • Secured Creditor means the Trustee, the Margin Loan Provider and the holders of the ETP Securities.
