Daily Per Share Price for any trading day means the weighted average of the per share selling prices on the NYSE of Company Common Stock (as reported in the NYSE Composite Transactions) for that day.

Daily Per Share Price of Common Stock on any date shall mean the average of the high and low prices of a share of Common Stock on the New York Stock Exchange or such other securities exchange on which the Common Stock is listed or quoted on such date.
