Customer Warranties definition

Customer Warranties. The Customer warrants that:
Customer Warranties means any obligations pursuant the written warranty for the Product in the form attached hereto as Schedule 2, Customer Warranties.
Customer Warranties shall be added under Section 6 “Warranties & Disclaimers” of the Main Subscription Agreement:

Examples of Customer Warranties in a sentence

  • Subject to this Section 8, Customer will defend and indemnify Treasure Data against any Claim made or brought against Treasure Data based on Customer’s breach of Section 2.4 (Restrictions) or Section 2.5 (Customer Warranties), and Customer will indemnify Treasure Data from any fines, damages, reasonable attorneys’ fees and costs finally awarded against Treasure Data or amounts paid by Treasure Data in any final settlement in connection with any such Claim.

  • Customer Warranties Customer warrants and represents that: Customer is the owner or lessee of record for all ESI ID locations to be served hereunder and Customer has the authority to enter into this Agreement for service to each of these ESI IDs. Any data given concerning electric service to its ESI IDs are true to the best of Customer's knowledge.

  • Those clauses of these IPsoft License Terms, which by their nature should apply beyond the term of the applicable Agreement or Order, will remain in force after any termination or expiration of such Agreement or Order, including, but not limited to, the following provisions: §4 (Audit Rights; Compliance) and §5 (Additional Customer Warranties; Disclaimer), § 6 (Intellectual Property), § 7 (Limitation of Liability), § 8 (Miscellaneous), and § 9 (Definitions Applicable to IPsoft License Terms).

  • Customer Warranties Customer warrants and represents that Customer and its Users use of the I-NET and Services or any other goods or services provided under this MSA will be in compliance with all applicable laws, rules and regulations.

  • Customer will indemnify SAS for any claim made against SAS arising from or relating to: (a) the Customer Materials; (b) Customer’s violation of its obligations in the Customer Warranties and Customer Responsibilities sections of these Universal Terms; or (c) violations of the Prohibited Activities section included in an Addendum for any System.

  • Customer Warranties Where the Customer is a corporate entity, the Customer, or the Customer’s representative, warrants that the Customer is properly constituted and has the capacity to enter into the Agreement.

Related to Customer Warranties

  • Seller Warranties means the warranties given by the Seller in Schedule 3;

  • Purchaser Warranties shall have the meaning ascribed to the term in Clause 8.1;

  • Seller’s Warranties means the warranties given by the Seller pursuant to Clause 9 and Schedule 9, and “Seller’s Warranty” means any one of them;

  • Warranties - means collectively any and all warranties (if any) given by the Bidder in terms of this agreement.

  • Manufacturer’s Warranty means the warranty supplied from time to time by the manufacturer of the Goods as at the date of the acceptance of the Statement of Work; “PPSA” means the Personal Property Securities Xxx 0000; “Price” means the amount specified within each Statement of Work (subject to any Variation) or as otherwise specified from the Company to the Customer representing the cost for the Works; “Related Work” means any additional building, carpentry, painting, plastering, plumbing or other work or other trades that the Customer requires, which are not to be carried out by the Company; “Services” means the services provided by the Company to the Customer as part of the Works, which may include without limitation the installation of Goods; “Services Delay Charge” means the services delay charge (if any) set out in the Statement of Work; “Services Interruption Event” means any interruption to a Works caused by; a Force Majeure Event, the Customer’s failure to carry out or perform any obligation required of it under this agreement which in the sole opinion of the Company does or may cause a delay in the Works and any other matter which in the reasonable opinion of the Company will cause an interruption or delay in the performance of the Works; “Statement of Work” means the details outlining the provision of the Works, which statement can be delivered verbally or in writing (including email) and may include (where applicable) an estimate or quotation (as specifically expressed as the case) of costs; “Variation” means a change in the Statement of Work including the specifications, scope, time of supply, price or scale of the Works and such variation shall form part of this agreement; “Workmanship” means a good and high quality and standard of delivery in connection with the Services performed; “Works” means the supply of Goods and the provision of Services to the Customer as per each Statement of Work;

  • Third Party Software means software which is proprietary to any third party (other than an Affiliate of the Contractor) which is or will be used by the Contractor for the purposes of providing the Services.

  • Limited Warranty means the limited warranties and your coverage provided by IKO for your Shingles as expressly set out in this document, and are the only warranties being provided by IKO.

  • Product Warranty has the meaning set forth in Section 9.3.

  • Warranty Rights means the Warranty Rights as described in Schedule I to the Participation Agreement.

  • Purchaser’s Warranties means the warranties and representations given by the Purchasers pursuant to Clause 5.2 and Schedule 2 and “Purchasers’ Warranty” means any one of them;

  • Licensed Software includes error corrections, upgrades, enhancements or new releases, and any deliverables due under a maintenance or service contract (e.g., patches, fixes, PTFs, programs, code or data conversion, or custom programming).

  • Tax Warranties means the warranties set out in part 3 of schedule 8 (Tax)

  • The Software means the software designed and developed by the Bidder or the Bidder’s Personnel, and includes the source code and object code along with associated documentation, which is the work product of the development efforts envisaged in the Terms of Reference. It does not include commercial off-the-shelf licensed software (except for the customisation components of such products).

  • Oracle Software means any software agent, application or tool that Oracle makes available to You for download specifically for purposes of facilitating Your access to, operation of, and/or use with, the Services.

  • Supplier Software means software which is proprietary to the Supplier or its Affiliates which is used or supplied by the Supplier in the provision of the Services; Supplier Staff means all persons employed or engaged by the Supplier together with the Supplier's servants, agents, suppliers, consultants and Sub-Contractors (and all persons employed by any Sub-Contractor together with the Sub-Contractor’s servants, consultants, agents, suppliers and Sub-Contractors) used in the performance of its obligations under this Contract; Time and Materials means the pricing mechanism for the Services as may be agreed by the Parties and set out at paragraph Error: Reference source not found in the SOW; TUPE means the Transfer of Undertakings (Protection of Employment) Regulations 2006 (SI 2006/246) as amended or replaced or any other regulations or UK legislation implementing the Acquired Rights Directive; Velocity means the Metric which measures the total number of Story Points for Stories that have been accepted in a Sprint, indicating the rate of progress towards Acceptance of all Stories from the Product Backlog;

  • Express warranty means an express warranty as set forth in sections 4-2-313 and 4-2.5-210, C.R.S. An express warranty shall cover every part of a new facilitative device.

  • Customer Software means software which is owned by or licensed to the Customer;

  • Warranty means a warranty made solely by the manufacturer,

  • Client Software means software that allows a Device to access or utilize the services or functionality provided by the Server Software.

  • Font Software means the software provided by Branding with Type which, when used on an appropriate Device or Devices, generates typeface and typographic designs and ornaments. Font Software shall include all bitmap representations of typeface and typographic designs and ornaments created by or derived from the Font Software. Font Software includes upgrades, updates, related files, permitted copies, permitted conversions, and related documentation.

  • Owned Software means all computer, software or firmware programs, modules or libraries owned or purported to be owned by the Company or any of its Subsidiaries.

  • Service Software means any and all software applications and any third-party or other software, and all new versions, updates, revisions, improvements and modifications of the foregoing, that Contractor provides remote access to and use of as part of the Services.

  • Proprietary Software means computer software developed for and owned by the Failed Bank for its own purpose and use.

  • Fundamental Representations and Warranties means the representations and warranties contained in Sections 3.1, 3.2, 3.6, 4.1 and 4.3.

  • Representations and Warranties The energy service under this Agreement will meet the applicable LDU’s standards and may be supplied from a variety of sources. Tomorrow Energy makes no representations or warranties other than those expressly set forth in this Agreement, and Tomorrow Energy expressly disclaims all other warranties, express or implied, including warranties of merchantability and fitness for a particular purpose.

  • Customer User means an employee of Customer, a Customer Affiliate or Business Partner.
