Customer Provided Materials definition

Customer Provided Materials means the materials identified in the applicable Work Statement to be provided by Customer to Brammer hereunder, for use in the Manufacture of the Product under the applicable Work Statement. Customer Provided Materials will not include Brammer Materials.
Customer Provided Materials means the Cell Line, materials, documents, components and supplies provided by Customer hereunder.
Customer Provided Materials means, with respect to a Product, the Product Materials identified in the applicable Product Addendum to be provided by Customer to Brammer hereunder, for use in the manufacture of the Product.

  • Subject to the provisions of this Section 7 and Section 8 (and except for Customer Provided Materials (as defined in Section 8)), IEC warrants that, for a period of twelve (12) months from the date of shipment from IEC (the “Warranty Period”), each Product provided by IEC pursuant to this quotation shall be free from defects in workmanship and materials and shall conform in all material respects to the written Product specifications supplied by Customer.

  • IEC shall not be responsible for any products, materials or components supplied by or purchased from Customer (“Customer Provided Materials”), whether or not such Customer Provided Materials contain, are contained in, incorporated into, attached to or packaged together with, the Products supplied by IEC.

  • Customer Provided Materials are not covered by the warranty in Section 7, and IEC MAKES NO REPRESENTATIONS OR WARRANTIES.

  • Customer will notify Brammer of any unusual adverse health or environmental occurrence relating the Customer Provided Materials, and any Product, including but not limited to any claim or complaint by any Customer employee or Third Party.

  • Customer Provided Materials will remain the sole property of Customer at all times during the term of this Agreement, but will remain in the possession, control and care of Brammer following delivery of such Customer Provided Materials by Customer to the Facility.

  • In the event that Customer or its end-users provide software, code, services, information, content, data or other materials (“Customer-Provided Materials”) to be utilized with the Services, Customer represents and warrants that it (i) has all necessary rights and permissions for its and Contour’s use of the Customer- Provided Materials, and (ii) it will comply with any third party terms and conditions applicable to its use of the Customer-Provided Materials.

  • Customer Provided Materials will be delivered by Customer to the Facility at no cost to Brammer.

  • Customer will provide Brammer with sufficient amounts of the Customer Provided Materials with which to perform the Services as specified in the Work Statement.

  • After the termination of this Agreement or a Service, Contour may delete all Customer- Provided Materials and any other content or data associated with the terminated Service(s).

  • If Customer does not provide such election to Brammer within such [**] Brammer will, at Customer’s expense, return to the Customer the applicable Customer Provided Materials.

Related to Customer Provided Materials

  • Customer Materials any materials, data, information, software, equipment or other resources owned by or licensed to You and made available to Us pursuant to facilitating Your use of the Services, including Customer Data.

  • Cloud Materials means any materials provided or developed by SAP (independently or with Provider’s cooperation) in the course of performance under the Agreement, including in the delivery of any support or Consulting Services to Provider or its Customers. Cloud Materials do not include any Customer Data, Provider Confidential Information, or the SAP Cloud Service.

  • Client Materials means the CLIENT Development Materials and the CLIENT Production Materials.

  • Licensed Materials means any materials that Executive utilizes for the benefit of the Company (or any Subsidiary thereof), or delivers to the Company or the Company’s Customers, which (a) do not constitute Work Product, (b) are created by Executive or of which Executive is otherwise in lawful possession and (c) Executive may lawfully utilize for the benefit of, or distribute to, the Company or the Company’s Customers.

  • Customer Proprietary Network Information (“CPNI”) is as defined in the Act.

  • Standard Materials means all Materials not specified as Custom Materials.

  • Computer Hardware and Software means all of each Loan Party’s and each of its Subsidiary’s rights (including rights as licensee and lessee) with respect to (a) computer and other electronic data processing hardware, including all integrated computer systems, central processing units, memory units, display terminals, printers, computer elements, card readers, tape drives, hard and soft disk drives, cables, electrical supply hardware, generators, power equalizers, accessories, peripheral devices and other related computer hardware; (b) all software and all software programs designed for use on the computers and electronic data processing hardware described in clause (a) above, including all operating system software, utilities and application programs in whatsoever form (source code and object code in magnetic tape, disk or hard copy format or any other listings whatsoever); (c) any firmware associated with any of the foregoing; and (d) any documentation for hardware, software and firmware described in clauses (a), (b) and (c) above, including flow charts, logic diagrams, manuals, specifications, training materials, charts and pseudo codes.

  • Specified Materials means the basic materials required on the Site for the execution and completion of Works, which shall include fuel and lubricants; cement; aggregates; steel reinforcement; timber and gravel.

  • Developed Materials means Materials created, made, or developed by Contractor or Subcontractors, either solely or jointly with the Court or Court Contractors, in the course of providing the Work under this Agreement, and all Intellectual Property Rights therein and thereto, including, without limitation, (i) all work-in-process, data or information, (ii) all modifications, enhancements and derivative works made to Contractor Materials, and (iii) all Deliverables; provided, however, that Developed Materials do not include Contractor Materials.

  • Customer Software means software which is owned by or licensed to the Customer;

  • Customer Equipment means hardware, software, systems, cabling and facilities provided by you and used in conjunction with the Equipment that we supply to you in order to receive the Services;

  • Service Provider Materials means all works of authorship, products and materials [including, but not limited to, data, diagrams, charts, reports, specifications, studies, inventions, software, software development tools, methodologies, ideas, methods, processes, concepts and techniques] owned by, or licensed to, the Service Provider prior to the Commencement Date or independently developed by the Service Provider outside the scope of this Agreement at no expense to Transnet, and used by the Service Provider in the performance of the Services;

  • Application Software means Software formulated to perform specific business or technical functions and interface with the business or technical users of the System and is identified as such in Appendix4 of the Contract Agreement and such other Software as the parties may agree in writing to be Application Software.

  • Customer Technology means Customer's proprietary technology, including Customer's Internet operations design, content, software tools, hardware designs, algorithms, software (in source and object forms), user interface designs, architecture, class libraries, objects and documentation (both printed and electronic), know-how, trade secrets and any related intellectual property rights throughout the world (whether owned by Customer or licensed to Customer from a third party) and also including any derivatives, improvements, enhancements or extensions of Customer Technology conceived, reduced to practice, or developed during the term of this Agreement by Customer.

  • Supplier Materials has the meaning set out in clause 8.1(g);

  • Custom Materials means Materials developed by the Supplier at the Procuring Entity's expense under the Contract and identified as such in Appendix 5 of the Contract Agreement and such other Materials as the parties may agree in writing to be Custom Materials. Custom Materials includes Materials created from Standard Materials.

  • SAP Materials means any software, programs, tools, systems, data, or other materials made available by SAP or any other member of the SAP Group to Partner or to an End User (either directly or indirectly via Partner) prior to or in the course of the performance under any part of this Agreement including, but not limited to, the other SAP Products.

  • Customer User means an employee of Customer, a Customer Affiliate or Business Partner.

  • Program Materials means the documents and information provided by the Program Administrator specifying the qualifying EEMs, technology requirements, costs and other Program requirements, which include, without limitation, program guidelines and requirements, application forms and approval letters.

  • Client Software means software that allows a Device to access or utilize the services or functionality provided by the Server Software.

  • Third Party Materials means any materials and information, including documents, data, know-how, ideas, methodologies, specifications, software, content, and technology, in any form or media, in which any Person other than the State or Contractor owns any Intellectual Property Right, but excluding Open-Source Components.

  • Customer information systems means any methods used to access, collect, store, use, transmit, protect, or dispose of customer in- formation.

  • System Software means Software that provides the operating and management instructions for the underlying hardware and other components, and is identified as such in Appendix 4 of the Contract Agreement and such other Software as the parties may agree in writing to be Systems Software. Such System Software includes, but is not restricted to, micro-code embedded in hardware (i.e., “firmware”), operating systems, communications, system and network management, and utility software.

  • Restricted materials means pesticides established as restricted materials under Title 3, California Code of Regulations, section 6400.

  • Customer Data means any content, materials, data and information that Authorized Users enter into the production system of a Cloud Service or that Customer derives from its use of and stores in the Cloud Service (e.g. Customer-specific reports). Customer Data and its derivatives will not include SAP’s Confidential Information.

  • Information processing system means an electronic system for creating, generating, sending, receiving, storing, displaying, or processing information.
