Customer or Supplier definition

Customer or Supplier means the following alternatives:
Customer or Supplier means any entity who, to the knowledge of the Executive, (A) is, or was within the then most recent 12‑month period, a customer or client of the Company, any predecessor of the Company or any of the Company’s subsidiaries; (B) is a supplier or vendor of the Company or any of the Company’s subsidiaries; or (C) is a potential Customer or Supplier with whom the Company or any of the Company’s subsidiaries was engaged in substantial negotiations during the Executive’s employment.

Examples of Customer or Supplier in a sentence

  • Section 3.19 of the Disclosure Schedule contains a true, correct and complete list of the names and addresses of the Customers and the Suppliers, and the amount of sales to or purchases from each such Customer or Supplier, as applicable, during the twelve (12) month period ended on the date hereof.

  • During the Employment Period and for one year following any Date of Termination, you shall not, directly or indirectly, on behalf of yourself or of anyone other than the Company, solicit or hire or attempt to solicit or hire (or assist any third party in soliciting or hiring or attempting to solicit or hire) any Customer or Supplier in connection with any business activity that then competes with the Company.

  • While I am employed by the Company and for the Restricted Period following any Date of Termination, I will not, directly or indirectly, on behalf of myself or of anyone other than the Company, solicit or hire or attempt to solicit or hire (or assist any third party in soliciting or hiring or attempting to solicit or hire) any Customer or Supplier in connection with any business activity that then competes with the Company.

  • If Customer or Supplier is affected by Force Majeure it shall promptly notify the other of the nature and extent of the Force Majeure.

  • Customer or Supplier, as applicable (the “Indemnifying Party”), will indemnify and hold Supplier or Customer, as applicable, harmless, respectively (the “Indemnified Party”), against any loss, injury, damage, and costs (including reasonable attorney fees) directly caused by the Indemnifying Party’s malfeasance, gross negligence, breach of contract or breach of warranty.

  • The Company maintains good commercial relations with each of its Customers and Suppliers and, to the Knowledge of the Company, no event has occurred that could materially and adversely affect the Company’s relations with any such Customer or Supplier.

  • No term in any purchase order, acknowledgement form or other document from Customer or Supplier which conflicts with the terms hereof or increases Customer's or Supplier's obligations hereunder shall be binding on either party unless issued in accordance with Section 17(d) of this Agreement notwithstanding any provision in any such purchase order, acknowledgement form or other document to the contrary.

  • To the County’s Knowledge, the County is not engaged in any disputes with any Customer or Supplier the outcome of which could result in a Material Adverse Change.

  • Except as set forth on Schedule 4.15, the County has not received any written notice from any Customer or Supplier regarding its intent to, or its attempt or threat to, cancel its Contract or its other relationship with the County or to substantially reduce its purchases from the County or its sales to the County, as the case may be, whether as a result of the transactions contemplated by this Agreement or otherwise.

  • No such Customer or Supplier has cancelled or otherwise terminated or materially reduced or materially and adversely modified its relationship with the Company, nor has any such Customer or Supplier expressed to the Company its intention to do any of the foregoing.

Related to Customer or Supplier

  • Major Supplier means a supplier which has the ability to materially affect the terms of participation (having regard to price and supply) in the relevant market for basic telecommunications services as a result of:

  • End-Use Customer means a person or entity in Delaware that purchases electrical energy at retail prices from a Retail Electricity Supplier.

  • DMA Customer means a Customer of a Sponsoring Broker where representatives of the Customer that are natural persons are designated by the Sponsoring Broker to have Trading Access to the SEF Platform using the Participant ID of the Sponsoring Broker and where such Customer signs the DMA Customer Documentation.

  • Customer Contract means any written contract or agreement (other than trade contracts) between Seller and any of its customers (or under which Seller has rights) which has been entered into and signed by the parties thereto in connection with the publication of the Directories and corresponding provision of Directory Services.

  • Contractor/Supplier means the person or company whose tender is accepted by the Purchaser and shall be deemed to include the Contractor’s successors, heirs, executors, administrators, representatives and assigns approved by the Purchaser.

  • Other Supplier means any supplier to the Customer (other than the Supplier) which is notified to the Supplier from time to time and/or of which the Supplier should have been aware;

  • Supplier means the successful bidder who is awarded the contract to maintain and administer the required and specified service(s) to the State.

  • Former Supplier a supplier supplying services to the Customer before the Relevant Transfer Date that are the same as or substantially similar to the Services (or any part of the Services) and shall include any sub-contractor of such supplier (or any sub-contractor of any such sub-contractor);

  • Major Customer has the meaning set forth in Section 3.22.

  • Customer means the State agency or other entity identified in a contract as the party to receive commodities or contractual services pursuant to a contract or that orders commodities or contractual services via purchase order or other contractual instrument from the Contractor under the Contract. The “Customer” may also be the “Buyer” as defined in the PUR 1001 if it meets the definition of both terms.

  • Prospective Customer means any individual, corporation, trust or other business entity which has either (a) entered into a nondisclosure agreement with the Company or any Company subsidiary or affiliate or (b) has within the preceding 12 months received a currently pending and not rejected written proposal in reasonable detail from the Company or any of the Company’s subsidiary or affiliate.

  • New Customer has the meaning set forth in Section 17.3(b).

  • Significant Customer has the meaning set forth in Section 5.22(a).

  • TCP Customers We will not impose Credit Management Charges unless the Charges are a reimbursement of our costs and you are advised of their amount or method of calculation.

  • End User Customer means a third party retail Customer that subscribes to a Telecommunications Service provided by either of the Parties or by another Carrier or by two (2) or more Carriers.

  • Network Customer means an entity receiving transmission service pursuant to the terms of the Transmission Provider’s Network Integration Transmission Service under Tariff, Part III. Network External Designated Transmission Service:

  • Top Suppliers has the meaning set forth in Section 3.18.

  • New Service Customers means all customers that submit an Interconnection Request, a Completed Application, or an Upgrade Request that is pending in the New Services Queue. New Service Request:

  • END USER CUSTOMER LOCATION means the physical location of the premises where an End User makes use of the telecommunications services.

  • Business Customer means a customer who is not a residential customer.

  • Data Supplier means a third party supplier of Market Data.

  • service supplier means any person that supplies a service;

  • Third Party Supplier means a third party manufacturer and/or licensor of Products.

  • Major Customers has the meaning set forth in Section 5.27.

  • Top Customers has the meaning specified in Section 4.28(a).

  • Host Customer means the customer account directly connected to a Customer-Generator Facility or Community Energy Facility, or, for a stand-alone Community Energy Facility, the customer account as designated by the Subscribers who share the energy production of the Community Energy Facility.
